Further to the announcement by FirstGroup plc (the "Company") on Monday 20 May 2013 relating to the Rights Issue, the Company announces that the Prospectus in respect of the proposed Rights Issue was approved yesterday by the UK Listing Authority (the "UKLA") and has been published on the Company's website at www.firstgroup.comwww.firstgroup.com. The Prospectus, which contains a notice convening a General Meeting to be held at 11.00 a.m. on 10 June 2013, will be posted to shareholders today.

A copy of the Prospectus has been submitted to the National Storage Mechanism and will be available for inspection at www.morningstar.co.uk/uk/NSM.

Copies of the Prospectus will also be available at the Company's registered office at 395 King Street, Aberdeen AB24 5RP.
