Exercise and Sale under the Executive Annual Bonus Plan 2014 (“EABP 2014”)

FirstGroup plc (the "Company") has been notified that the Executive Director and Persons Discharging Managerial Responsibilities (“PDMRs”) detailed below, exercised conditional awards over 331,424 ordinary shares of 5 pence each under the EABP 2014. Following the release, 159,174 were sold at a price of £1.41.

Exercise and Sale under the Executive Annual Bonus Plan 2015 (“EABP 2015”)

The Company has also been notified that Matthew Gregory, Executive Director, exercised an option over 89,530 ordinary shares of 5 pence each under the EABP 2015. Following the exercise, the Executive Director sold 42,164 shares at a price of £1.3987 per share to cover his Income Tax and National Insurance liabilities.

The transactions listed above took place in London (XLON) on 5 June 2017 and the Company was notified on 6 June 2017.

This notification is made under Article 19.3 of the Market Abuse Regulation.
