Methodology of Convening the General Assembly’s Meeting Via modern technology means
Attendance Eligibility, Registration Eligibility, and Voting End Shareholders who are registered in the Company’s shareholders record at the Depositary Center by the end of the trade session prior to the general assembly meeting and in accordance with the laws and regulations. The shareholder has the right to discuss the Meeting’s agenda and ask questions.

Eligibility for Registering the Attendance of the General Assembly's Meeting Ends upon the Convenience of the General Assembly's Meeting. Eligibility for Voting on the Business of the Meeting Agenda Ends upon the Counting Committee Concludes Counting the Votes. Quorum for Convening the General Assembly's Meeting The Ordinary General Meeting shall be valid only if attended by shareholders representing at least 25% of the Share Capital with voting rights.

In case of non-completion of the quorum at this meeting, the Ordinary General Meeting shall convene at the invitation for a second meeting to be held one hour after the expiration time of the first meeting. In any case, the second meeting shall be considered valid, irrespective of the number of shares represented therein. General Assembly Meeting Agenda 1- Voting on External Auditor Report for the fiscal year ended on 31 December 2023 after discussing it (Attached).

2- Review and discuss the Financial Statements for the fiscal year ended on 31 December 2023 (Attached).

3- Review and discuss the Board of Directors Report for the fiscal year ended on 31 December 2023 (Attached).

4- Voting on the discharge of the Board of Directors members for the fiscal year ended 31 December 2023.

5- Voting on the payment of SAR 1,945,000 as a remuneration to members of the board of directors for the fiscal year ending December 31, 2023.

6- Voting on appointing the company's auditors from among the candidates based on the Audit Committee's recommendation, to review, and audit the financial statements for the second, third quarters and the annual financial statements for the fiscal year 2024, as well as the first quarter for the fiscal year 2025, and to determine their fees.

7- Voting on the business and contracts that have been conducted between the Company and Almutlaq Real Estate Investment Company, in which Mr. Tariq Mutlaq Abdullah AlMutlaq has an indirect interest in it, which is a project implementation consultancy, the contract amount is SAR 2,078,278 annually, these transactions are based on commercial bases, and there are no special conditions associated with them (Attached).

8- Voting on the business and contracts that have been conducted between the Company and Al Safi Danone Company, in which Mr. Abdullah Ahmed Sultan AlShehri has an indirect interest in it, which is sales of bran, the contract amount is SAR 3,303,825 annually, these transactions are based on commercial bases, and there are no special conditions associated with them (Attached).

9- Voting on the business and contracts that have been conducted between the Company and Ehata Financial Company, in which Mr. Rakan Abdullah Rashid Abunayyan has an indirect interest in it, which is financial advisory, the contract amount is SAR 163,000 annually, these transactions are based on commercial bases, and there are no special conditions associated with them (Attached). Proxy Form The shareholder right in discussing the assembly agenda topics, asking questions, and exercising the voting right Shareholders have the right to discuss matters listed in the agenda of the General Assembly and raise relevant questions and vote on the General Assembly Meeting’s agenda via (E-voting service), through Tadawulaty by visiting the website: www.tadawulaty.com.sa Details of the electronic voting on the Assembly’s agenda Shareholders registered in Tadawulaty services have the right to vote electronically on the items of the assembly, starting at 1:00 am (morning) on Sunday 19/05/2024G, until the time of the assembly.
