31 March 2020 Quarterly Activity Report

Ookami Limited ( ASX:OOK ) ( Ookami or the Company ) is pleased to provide the following report and attached Appendix 4C to its shareholders for the quarter ending 31 March 2020.

Summary of cash flows and related activity

As at 31 March 2020, Ookami held cash and cash equivalents of $496,000 compared with $642,000 at 31 December 2019. Net cash of $146,000 was used in operating activities compared with $94,000 for the quarter ending 31 December 2019 with the increase in costs directly related to insurance costs and the fees associated with the half yearly audit.

During the quarter, the Akela Platform attracted a minimal amount of deal flow with only Bunji Corporation Limited (to be renamed Pure Food Tasmania Limited) being made available on the Platform. The offer closed oversubscribed.

Akela (Akela Capital Pty Ltd) has been granted its own Australian Financial Services Licence (Licence No: 514821) for carrying on financial services business in Securities (class) to retail and wholesale clients.

Brontech continued to evolve its products with the improvement of its bronID AML/CTF Platform including a release of a KYB (Know Your Business) API for all entity types in Australia which is a unique offering on the market, and a comprehensive ML/TF (money laundering and terrorism financing) risk assessment feature. Brontech also onboarded new financial service customers to the bronID AML/CTF Platform.

Ookami entered into a non-binding term sheet in relation to a corporate transaction to acquire a company with a late-stage (Phase 2) asset in the chemotherapeutics sector (Term Sheet) – see ASX announcement of 11 December 2019.

The Company has continued to advance the proposed transaction contemplated by the Term Sheet and has furthered its application and discussions with the ASX to seek in-principle advice regarding the suitability of the business for listing. The Company anticipates receiving feedback from the ASX over the coming weeks and will then be in a position to provide a more comprehensive update on the proposed biotechnology transaction to shareholders.

We remind shareholders that there is no guarantee that formal agreements will be entered into, and that any transaction will be subject to ASX and shareholder approval, and the Company re-complying with Chapters 1 and 2 of the ASX Listing Rules.

There were no other substantive business activities during the quarter.

Payments to related parties of the entity and their associates

In item 6 of the attached Appendix 4C cash flow report for the quarter, payments to related parties of $42,000 comprised of director fees paid to non-executive directors.

This report and the attached Appendix 4C have been authorised for release by the Board of Ookami Limited.
