Director Retirement

On February 11, 2025, Rosa Sugrañes, age 67, informed FHN that she will retire from the Board effective when directors are elected at the 2025 annual meeting of shareholders. Ms. Sugrañes has served on the Board since FHN's merger of equals with IBERIABANK Corporation ("IBKC") in 2020. Ms. Sugrañes was a director of IBKC from 2018 to 2020, and of Sabadell United Bank in Miami from 2006 until it was acquired by IBKC. Ms. Sugrañes has not informed FHN of any disagreement with management on any matter.
