Lodgement of Prospectus and Letter to Shareholders

Following shareholder approval at the Company’s General Meeting on 10 December 2012, Mongolian Resources Limited, (ASX Code: MRF) has today lodged the attached prospectus for the offer of up to 17,500,000 shares at 20 cents each with an attaching free option exercisable at 20 cents on or before 5:00pm (AEST) on 17 October 2016 (“New Option”) to raise up to $3,500,000 (before costs) (“Offer”).

The Offer includes a priority offer of up to 5,000,000 shares with an attaching free New Option to shareholders registered as at 11 December 2012. The attached Letter to Shareholders has been despatched today to all shareholders registered at that date to inform them of this priority offer.

A full copy of the prospectus and application forms can be downloaded from the Company’s website at www.mongolian-resources.com. Priority Application Forms must be returned to the share registrar by 5.00pm AEST on 11 February 2013 . General Application Forms must be received by 5:00pm AEST on 18 February 2013 .
