CONVERSION OF DEBT TO EQUITY
Dear Sir/Madam.
The Board of Tolhurst Noall Group Limited is pleased to advise that it is in negotiations with current unsecured loan holders and subordinated debt holders to convert up to \$1,250,000 in outstanding debt to equity at a conversion price of \$0.24 per share.
The Board anticipates that the conversion will be completed on or before 14 October 2005 and the newly allotted shares will rank for dividend.
