NOTICE OF CHANGE OF AUDITORS

TO: Wasserman Ramsay Chartered Professional Accountants CAN Partners LLP Chartered Professional Accountants

AND TO: The Ontario Securities Commission British Columbia Securities Commission Alberta Securities Commission

RE: Change of Auditors

Date: September 4, 2024

1. Resignation of Former Auditor

Pursuant to the requirements of National Instrument 51-102 - Continuous Disclosure Obligations, the board of directors of Fintech Select Ltd (the "Company") hereby gives notice that Wasserman Ramsay Chartered Professional Accountants (the “Former Auditor”) resigned as auditor of the Company effective August 30, 2024 as the auditor is exiting the public company space.

2. Appointment of Successor Auditor

The board of directors has appointed CAN Partners LLP Chartered Professional Accountants (the “Successor Auditor”) as the new auditor for the Company effective September 4, 2024 to hold office until the next annual meeting of shareholders.

3. Reporting Package

In accordance with the requirements of National Instrument 51-102, the Company has requested the Former Auditor to provide a letter confirming whether or not they agree with the statements made by the Company in this Notice. The Former Auditor’s letter is attached hereto as Schedule “A”.

4. No Reportable Events

There have been no “reportable events” (as defined in National Instrument 51-102) in connection with the change of auditor. Further, there have been no reservations or modified opinions contained in the former auditors’ reports on any of the financial statements of the Corporation for the period commencing at the beginning of the Company’s two most recently completed financial years.

5. Statement of the Audit Committee

The Company’s audit committee and board of directors have reviewed and approved this Notice of Change of Auditor.

6. Notice to Shareholders

This notice has been provided to the shareholders of the Company in accordance with National Instrument 51-102 by way of filing on SEDAR.
