Decisions of the constitutive meeting of Finnair Plc Board of Directors

Finnair Plc Stock Exchange Release 23 March 2023 at 6.20 p.m. EET In its constitutive meeting, held after the Annual General Meeting, the Board of Directors elected Montie Brewer as the Vice Chair of the Board. The Board also appointed members to its Audit Committee and People and Remuneration Committee. Jukka Erlund was elected as the Chair of the Audit Committee and Montie Brewer, Henrik Kjellberg, Simon Large and Sanna Suvanto-Harsaae as other members of the Audit Committee. Hannele Jakosuo-Jansson was elected as the Chair of the People and Remuneration Committee and Tiina Alahuhta-Kasko, Minna Pajumaa and Sanna Suvanto-Harsaae as other members of the People and Remuneration Committee. The Board assessed the independence of its members and concluded that all members, except Minna Pajumaa, are independent of the company and its significant owners. Ms. Pajumaa is not deemed to be independent of the company's significant owner as she is a civil servant of the government of Finland.
