FinecoBank: verifica requisiti Sindaco Effettivo e Presidente del Collegio Sindacale

Milano, 13 ottobre 2020

Facendo seguito al comunicato stampa del 17 settembre 2020, FinecoBank S.p.A. rende noto che l'odierno Consiglio di Amministrazione, con il supporto del Comitato Nomine, ha accertato che nei confronti del Sindaco effettivo e Presidente del Collegio Sindacale dott.ssa Luisa Marina Pasotti:

• sussistono i requisiti di professionalità e onorabilità (ivi inclusi i profili di suitability) e sono rispettati il criterio della dedizione di tempo e gli specifici limiti al cumulo degli incarichi previsti dalla normativa pro tempore vigente, nonché dalla "Composizione qualitativa e quantitativa del Collegio Sindacale di FinecoBank S.p.A." (disponibile sul sito internet www.finecobank.com, Sezione "Governance/Documenti") e dalla ulteriore normativa interna in materia;
• sussistono i requisiti di indipendenza ai sensi dell'art. 148, comma 3, TUF e dell'art. 3 del Codice di Autodisciplina per le Società Quotate promosso da Borsa Italiana S.p.A. (il "Codice"), come richiamato dallo Statuto Sociale;
• non sussistono situazioni che ricadono nell'ambito di applicazione dell'art. 36 del D.L. 201/2011 (il c.d. "divieto di interlocking").

Il Consiglio di Amministrazione ha inoltre preso atto che il Collegio Sindacale, nella riunione del 12 ottobre 2020, ha provveduto – ai sensi di quanto previsto dal Criterio applicativo 8.C.1 del Codice – ad accertare in capo alla dott.ssa Pasotti la sussistenza del requisito di indipendenza di cui al Criterio applicativo 3.C.1 del Codice medesimo, così come richiamato dallo Statuto Sociale, nonché il possesso degli ulteriori requisiti previsti dalla vigente normativa.

FinecoBank: assessment of the requirements of the Statutory Auditor and Chairman of the Board of Statutory Auditors

Milan, 13 October 2020

Following the press release dated 17 September 2020, FinecoBank S.p.A. hereby announces that the Board of Directors, at its today meeting and with the assistance of the Appointments Committee, has verified with regard to the Statutory Auditor and Chairman of the Board of Statutory Auditors Ms. Luisa Marina Pasotti that:

• the requirements of experience and integrity (including the suitability) have been met, and the criteria of time commitment and the specific limits on the numbers of offices to be held envisaged by legislation in force, as well as by the "Qualitative and quantitative composition of the Board of Statutory Auditors of FinecoBank S.p.A." (made available on www.finecobank.com, "Governance/Documents" Section) and by additional internal regulations in this regard, have been complied with;
• the requirements of independence pursuant to art. 148, paragraph 3, TUF (Italian Consolidated Law on Finance) and art. 3 of the Corporate Governance Code for listed companies of Borsa Italiana S.p.A. (the "Code"), as provided for in the Company's Articles of Association, has also been met;
• there are no situations falling within the scope of Article 36 of the Law Decree December 6, 2011 no. 201, converted with amendments by Law December 22, 2011 no. 214, concerning the provisions on the prohibition of interlocking directorates.

The Board of Directors also acknowledged that the Board of Statutory Auditors, at its meeting held on 12 October 2020 – in accordance with the provisions of the Application Criterion 8.C.1 of the Code – had assessed that Ms. Pasotti met the independence requirement envisaged by Application Criterion 3.C.1 of the Code itself, as provided for in the Company's Articles of Association, as well as the further requirements set forth by the current legislation.
