INTEGRALE CONVERSIONE AZIONI RISCATTABILI IN AZIONI ORDINARIE E CONSEGUENTE VARIAZIONE DELLA COMPOSIZIONE DEL CAPITALE SOCIALE

Fine Foods & Pharmaceuticals N.T.M. S.p.A. ("Fine Foods" o la "Società"), sulla base di quanto previsto dall'articolo 6.6 e 6.7 del proprio Statuto, rende nota la nuova composizione del capitale sociale (interamente sottoscritto e versato) che recepisce la variazione avvenuta a seguito dell'integrale conversione delle 1.200.000 azioni riscattabili in 1.200.000 azioni ordinarie sulla base della richiesta di Marco Francesco Eigenmann¹ e di Eigenfin S.r.l., titolari delle stesse azioni riscattabili.

La nuova composizione del capitale sociale di Fine Foods & Pharmaceuticals N.T.M. S.p.A. è pertanto la seguente:

FULL CONVERSION OF REDEEMABLE SHARES INTO ORDINARY SHARES AND CHANGING THE SHARE CAPITAL COMPOSITION

Fine Foods & Pharmaceuticals N.T.M. S.p.A. ("Fine Foods" or the "Company"), under the provisions of Article 6.6 and 6.7 of its current articles of association, announces the current amount of the share capital (fully subscribed and paid) following the full conversion of 1,200,000 Redeemable Shares into 1,200,2000 Ordinary Shares based on the request of Marco Francesco Eigenmann 2 and Eigenfin Srl, holders of the redeemable shares.

The current amount of the share capital of Fine Foods & Pharmaceuticals N.T.M. S.p.A. is the following:

Today, the request for registration of the new composition of the share capital was filed with the Register of Companies. The new composition incorporates the change in this press release, as well as the changes anticipated in the press release of April 28, 2021.
