COMUNICAZIONE DI VARIAZIONE DEL CAPITALE SOCIALE POST ESERCIZIO WARRANT A SEGUITO DELL'AVVERAMENTO DELLA CONDIZIONE DI ACCELERAZIONE DEL 31 MAGGIO 2021

Fine Foods & Pharmaceuticals N.T.M. S.p.A. ("Fine Foods" o la "Società"), facendo riferimento alla "Comunicazione di Accelerazione" effettuata in data 31 maggio 2021, comunica che il 30 giugno 2021 è stato il "Termine di Decadenza" per l'esercizio dei Warrant, ai sensi del "Regolamento dei Warrant Fine Foods & Pharmaceuticals NTM S.p.A." (il "Regolamento"). Entro tale termine, risultano pervenute richieste di esercizio di n. 2.371.242 Warrant con Rapporto di Esercizio pari a 0,2713; pertanto la Società ha provveduto ad emettere n. 643.303 azioni ordinarie a servizio di detto esercizio, per un controvalore complessivo di Euro 64.330,30, secondo le modalità previste dal Regolamento.
Per effetto di quanto precede, il nuovo capitale sociale di Fine Foods è pari ad Euro 22.770.445,02 suddiviso in n. 22.060.125 Azioni Ordinarie e n. 3.500.000 Azioni a Voto Plurimo, tutte prive del valore nominale.
La nuova composizione del capitale sociale di Fine Foods & Pharmaceuticals N.T.M. S.p.A. è pertanto la seguente:

NOTICE OF CHANGE IN SHARE CAPITAL AFTER THE EXERCISE OF WARRANTS FOLLOWING THE FULFILMENT OF THE ACCELERATION CONDITION DATED 31 MAY 2021
Verdellino (BG), 30 June 2021
Fine Foods & Pharmaceuticals N.T.M. S.p.A. ("Fine Foods" or the "Company"), referring to the "Acceleration Notice" made on 31 May 2021, announces that 30 June 2021 was the "Time Limit" for the exercise of Warrants, under the "Fine Foods & Pharmaceuticals N.T.M. S.p.A. Warrants Regulations." (the "Regulations"). By this deadline, requests for the exercise of 2,371,242 Warrants with an Exercise Ratio of 0.2713 had been received. The Company issued 643,303 ordinary shares to service this, for € 64,330.30, under the procedures set out in the Regulations.
As a result of the above, the new Fine Foods share capital is € 22,770,445.02 divided into 22,060,125 Ordinary Shares and 3,500,000 Multiple-Voting Shares, all without nominal value.
