CHANGES TO THE BOARD

Appointment of Directors

Transaction Solutions International Limited (“TSN” or “the Company”) advises current CEO, Mr Jeffrey Lai, is to be appointed as an Executive Director and Mr Gernot Abl is to be appointed as a Non-Executive Director effective from 30 June 2017.

Mr Lai has previously held senior management roles with Accenture PLC and Arthur D. Little covering strategy, digital and transformation for the banking and telecom/technology sectors; and advising on acquisitions and new ventures. Mr. Lai holds professional qualifications in Master of Business Administration (M.B.A.) from INSEAD and in Bachelor of Engineering with Honours from University of Melbourne.

Mr Lai was appointed as the Company’s CEO on 20 March 2017 for an initial period of 3 months and the Board is pleased to advise that Mr Lai’s contract has been extended indefinitely. Since his appointment, Mr Lai has identified several key areas for new opportunities for TSN that can enhance shareholder value.

Mr Abl holds a Commerce/Law degree from the University of Western Australia and has considerable commercial experience with technology start-ups and in the strategic corporate development of companies. He is currently the Managing Director of ASX listed eSports Mogul Asia Pacific Limited.

Retirement of Directors

Non-executive Directors, Mr Paul Boyatzis and Mr Yew Seng Kwa have informed the Board of their intentions not to seek re-election at the upcoming AGM and to retire as Directors effective from 30 June 2017. TSN’s Chairman, Mr Gary Foster, expressed his sincere gratitude to both retiring Directors for their contributions to the Company. Mr Foster commented, “as a co-founder of TSI India, the financial and commercial experience of Mr Boyatzis was pivotal in the establishment and growth of the business. Mr Boyatzis will continue to provide ongoing advice to the Company as required.”
