NOTICE OF CHANGE IN SHARE CAPITAL

Following the press release issued on 12 June 2024, Fincantieri S.p.A. ("Fincantieri") announces, pursuant to art. 85-bis Consob Regulation 11971/1999, the new composition of its share capital (fully subscribed and paid-in) following the execution on 17 June 2024 of the reverse stock split of no. 1,699,651,360 existing ordinary shares of Fincantieri, into 169,965,136 newly issued ordinary shares of Fincantieri, with the same characteristics as the outstanding ordinary shares, based on the ratio of 1 new ordinary share for every 10 existing ordinary shares.
