FINCANTIERI: APPOINTMENT BY COOPTATION OF BIAGIO MAZZOTTA AS CHAIRMAN OF THE BOARD OF DIRECTORS

The Board of Directors of Fincantieri S.p.A. ("Fincantieri" or the "Company") held today, pursuant to Article 2386 of the Italian Civil Code and to Article 19.10 of the By-laws, following the opinion of the Nomination Committee and the approval of the Board of Statutory Auditors, appointed by cooptation Biagio Mazzotta as new member of the Board of Directors, that will remain in place until the next Shareholders' Meeting.

Pursuant to Article 20.1 of the By-laws, the Board of Directors appointed Biagio Mazzotta as Chairman of the Board of Directors of the Company.

The appointment follows the premature death of General Claudio Graziano, who was appointed by the Shareholders' Meeting of 16 May 2022 from the slate proposed by the Shareholder CDP Equity S.p.A..

The Board of Directors accepted the recommendation made by the shareholder CDP Equity S.p.A., which submitted the relative candidacy for independent evaluation by letter dated 1 August 2024.

The Chairman Biagio Mazzotta has been granted powers related to institutional representation, supervision of the corporate security and of the internal control and risk management system.

Furthermore, the Chairman and the Chief Executive Officer will jointly manage the definition of the communication and institutional relations activities, the definition and development of national and international strategies and the Company's internationalization activities.

The Board of Directors, on the basis of the declaration and information provided by the candidate, assessed that the integrity and professional requirements were met and that no causes of ineligibility and incompatibility exist, as required by current regulations. The respect of the maximum number of directorships was also ascertained, also taking into account the guidelines adopted by the Company on the matter.

Based on information available to the Company, Biagio Mazzotta does not hold any Fincantieri shares.
