RE: Section 708A Cleansing Statement

Finbar International Limited confirms that it has today issued 3,000,000 Shares, pursuant to a placement as announced on 6 December 2004.

In accordance with Section 708A(5)(e) of The Corporations Act 2001 (the "Act") the Company advises that:

• This notice is being given under Section 708(5)(e) of the Act. 1.
• The Company issued the 3,000,000 Shares without disclosure under Part 6D.2 $\overline{2}$ . of the Act.
• At the date of this notice The Company has complied with the provisions of 3. Chapter 2M of the Act as they apply to the Company; and
• As at the date of this Notice, the Company has complied with section 674 of the $\overline{4}$ .
