CORPORATE GOVERNANCE - RISK OVERSIGHT AND MANAGEMENT

Due to the size of the Company and the scale of its operations the board as a whole establishes policies regarding risk management and internal compliance and control systems and also manages and monitors risk management and internal compliance and control systems along with the integrity of the Company's financial reporting. This responsibility is referred to in the Corporate Governance Statement made by the Company in its latest Annual Report at point 5 of point 1.3 on Page 29, Responsibilities of the Board.

As stated in the Corporate Governance Statement of the Company's Annual Report the Company has adopted a Board Charter that contains the policy on risk management and this charter is available for public inspection at the Company's registered office. The Company does not currently have a web-site.

The policy of the Company, to be adopted at a time when the size of the Company and the scale of its operations warrants it, is to have the CEO and CFO attest to the integrity of the financial statements and to state that they are founded on a sound system of risk management and internal compliance and control. As at 30/06/2004 the Company did not have a CEO or CFO as noted in the Corporate Governance Statement in the Annual Report on page 32, point 1.4.11 and as a result the Board attested to the above via a Resolution of Directors dated 30 September 2004.
