CORPORATE UPDATE – MOBIMEDIA TRANSACTION

Orca Energy Limited ( Orca or the Company ) advises that the proposed acquisition agreement ( Agreement ) of Mobimedia International Pte Ltd ( Mobimedia ) has been terminated by mutual agreement between the parties.

Under the terms of the Agreement, there were several conditions precedent required to be satisfied by the Company and Mobimedia, including completion of due diligence and the Company’s re-compliance with Chapters 1 and 2 of the ASX Listing Rules. As at 5 March 2016, several of the key conditions precedent to completion remained outstanding. Rather than extend the expiry date for meeting these outstanding conditions, the parties agreed to terminate the Agreement.

The Board will continue to evaluate alternative investment opportunities and look to advise the market in due course.
