Joint press release between Pencil S.p.A. and Amber SGR S.p.A.
Milan, February 2, 2022 - Pencil S.pA. - company controlled by Massimo Candela - and Amber SGR S.p.A. announce that today they have completed an exchange transaction, as a result of which (i) Amber SGR SpA, through Amber Italia Creative Opportunity, a sub-fund of the Amber Italia Opportunity Multi-sector Fund, acquired the ownership of 2,090,164 ordinary shares of Fabbrica Italiana Lapis e Affini - FILA ("FILA"), a company listed on the Euronext Milan market and (ii) Massimo Candela consolidated his shareholding in the controlling holding of Fila, becoming its sole shareholder (directly and through companies controlled by him) and maintaining the majority of the voting rights with 53.57%.
As a result of this operation, the funds managed by the companies Amber Capital Italia SGR S.p.A. and Amber Capital UK LLP own in total more than 9% of the share capital of FILA.
