MINUTES OF THE BOARD OF DIRECTORS OF MAY 15, 2019 MADE AVAILABLE

Pero, 12 June 2019 - F.I.L.A. - Fabbrica Italiana Lapis and Affini S.p.A. (the "Company") announces that today it has been made available to the public at the registered office and on the Company's website (www.filagroup.it) in the "Governance" section, as well as at the authorized storage mechanism " EMARKET STORAGE "(), the minutes, drafted in a notarial form, of the meeting of the Board of Directors of the Company held on May 15, 2019 which implemented the delegation, pursuant to art. 2443 of the Civil Code, granted to the Board of Directors by the Shareholders' Meeting of 27 April 2017 to increase free of charge, pursuant to art. 2349, paragraph 1, of the Civil Code, the share capital servicing the early closure of the 2017- 2019 Performance Shares Plan.
