Board changes

Fiinu   Plc (AIM: BANK), the fintech group and creator of the Plugin Overdraft®, announces the appointment of two new directors and the resignation of one Independent   Non Executive   Director.

Mark   Wallace has informed the Company that, for personal and health reasons, he has decided to resign as an Independent   Non Executive   Director of   Fiinu, with immediate effect, and will not take up his position as Chair of the Company's Polish foreign exchange subsidiary, which has been renamed Fiinu   P.S.A.. That position, on an interim basis, will be taken up by David Hopton, the Fiinu Plc Chair. Mark has made a valuable contribution during his all too brief time with the Company, and the Board wishes him well for a full and speedy recovery.

The Company is pleased to announce the appointment of Paul   Barnes as an Independent   Non Executive   Director of   Fiinu   Plc, with immediate effect. Paul brings extensive general management expertise, particularly in treasury and liquidity management, short term markets trading (including securities financing and foreign exchange), and business growth.

Paul was part of the senior management teams at Santander Corporate and Investment Banking ("SCIB") and Santander UK. He served as a Managing Director, member of the SCIB London Executive Committee and a member of the SCIB European Markets Executive Committee, as well as sitting on the Santander UK Asset and Liability Committee. Externally he represented Santander on the Bank of England Money Markets Liaison Committee, The London Money Market Association, and was the Industry elected Chair of the UK Liquidity Managers Committee under UK Finance.

In addition, the Board has approved the appointment of Michael   Hopton to the Board of   Fiinu   Plc   as an Executive   Director and   Group Chief Operating Officer, with Board responsibility for Finance, Operations and Risk, also with immediate effect. Michael, who joined the Group in July 2025 as Chief Operating Officer, has also been serving as interim   CFO and oversaw the production of the Group's interim results.

Michael is a seasoned banking Chief Operating Officer with over two decades of experience spanning sales, risk management, operations, and technology across leading global financial institutions.

His early career included roles at Citigroup, Société Générale, and Barclays Capital, where he worked across capital markets in sales and operations. In the latter half, he held senior Financial Markets COO positions at Standard Chartered, where he led global operational teams, supporting corporate and institutional clients. He also spearheaded initiatives in sales strategy and analytics, digital transformation, and major regulatory and technology change programmes.

ADDITIONAL REGULATORY   DISCLOSURES

Paul   Douglas Barnes , aged   57, does not currently hold, nor has he held, any directorships or partnerships within the last five years. He   does not currently hold any shares or options in   Fiinu   Plc.

Michael   Alwyn Hopton , aged   47, is currently a director of Hopton Street Capital Limited. He has not held any other directorships or partnerships in the last five years. He does not currently hold any shares or options in   Fiinu   Plc.

There are no further disclosures required under Schedule   2(g) of the AIM   Rules for either Paul Barnes or Michael Hopton
