Milan, 7 March 2023 – In relation to the recent press news regarding the finalization of a transaction with Fiere di Parma S.p.A. ("Fiere di Parma"), aimed at creating a common European exhibition platform in the agro-food sector (the "Transaction"), Fiera Milano announces that – following the outcome of the negotiations between Fiera Milano and Fiere di Parma announced in a press release of 13 October 2022 – the Shareholders' Meeting of Fiere di Parma will be called to resolve a share capital increase involving 576,587 ordinary shares for a total value of Euro 16.5 million, equal to 18.5% of the share capital of Fiere di Parma, reserved for subscription by Fiera Milano and to be released through the contribution in kind of the TuttoFood business unit. Fiera Milano specifies that, following the decisions that will be taken by the Shareholders' Meeting of Fiere di Parma, the finalization of the Transaction will in any case be subject to the approval of the Board of Directors of Fiera Milano. Further updates will be communicated to the market in the manner and within the terms established by the applicable legal provisions.
