Milan, 27 April 2023 – The Board of Directors of Fiera Milano S.p.A. (the "Company" and/or "Fiera Milano"), met on the date hereof to resolve on the attribution of corporate positions following the Shareholders' Meeting which, among others, renewed the Board of Directors itself.
The newly established Board of Directors, composed of Carlo Bonomi, Francesco Conci, Ferruccio Resta, Michaela Castelli, Agostino Santoni, Monica Poggio, Regina De Albertis, Paola Annamaria Petrone and Elena Vasco, assigned the corporate positions until the Shareholders' Meeting which will be called to approve the Financial Statements of Fiera Milano as at 31 December 2025. Francesco Conci, former CEO of Fiera Milano Congressi S.p.A. since 2013 and Strategic Marketing Director of Fiera Milano from 2018 to 2020, was appointed new Chief Executive Officer of Fiera Milano. Francesco Conci has also assumed the position of General Manager of Fiera Milano, replacing Luca Palermo who held the position from 1 January 2021.
With reference to the indemnities or other benefits due to Dr. Luca Palermo, the related information, required by art. IA.2.6.8 of the Instructions to the Regulations of the Markets Organized and Managed by Borsa Italiana, as well as by art. 5, recommendation 31 of the Corporate Governance Code, are being calculated and determined and will be disclosed in a specific press release. Based on the information available, as of today Dr. Luca Palermo is the beneficiary of 125,998 shares of the Company pursuant to the 2021-2022 Performance Share Plan.

The Board of Directors ascertained, with respect to all of its members, that there are no causes of non-electability nor incompatibility and that all have the requisites of honourability and professionalism required by the applicable law and it also ascertained that the Directors Michaela Castelli, Regina De Albertis, Paola Annamaria Petrone, Monica Poggio, Ferruccio Resta, Agostino Santoni, Elena Vasco possess the independence requisites established pursuant to Corporate Governance Code of Borsa Italiana and pursuant to art. 148, paragraph 3, of Italian Legislative Decree no. 58/98.
The Board of Directors also appointed the members of the following internal board committees:
Control and Risk Committee: Chairman Michaela Castelli, members Ferruccio Resta and Paola Annamaria Petrone;
Appointments and Remuneration Committee: Chairman Agostino Santoni, members Monica Poggio and Regina De Albertis;
Sustainability Committee: Chairman Ferruccio Resta, members Elena Vasco and Michaela Castelli.

Francesco Conci, new Chief Executive Officer and Andrea Maldi, Chief Financial Officer are qualified as Executives with strategic responsibilities. Andrea Maldi was confirmed as Manager in charge of preparing the corporate accounting documents.
