This is further to our letter dated 01[st] September, 2025 and pursuant to Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we enclose herewith a summary of proceedings of 40[th] Annual General Meeting of the Company held on 25[th] September, 2025 at 09.00 a.m. at the Hotel Ocean Inn, Plot No. 20, Devka Beach, Nani Daman (U.T.) - 396 210. The meeting concluded at 09:30 a.m. (IST).
Pursuant to Regulation 44(3) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the combined results of the remote e-voting and voting during AGM through ballot papers along with the consolidated Scrutinizers report will be submitted to the Stock Exchanges within the prescribed timelines as mentioned in the said Regulations.

SUMMARY OF PROCEEDINGS OF 40[TH] ANNUAL GENERAL MEETING
The 40[th] Annual General Meeting (AGM) of the Members of the Company was held on 25[th] September, 2025 at 09.00 a.m. at the Hotel Ocean Inn, Plot No. 20, Devka Beach, Nani Daman (U.T.) - 396 210.
Mr. Pravin Sheth, Chairman of the Company, chaired the proceedings of the Meeting.
The number of shareholders as on record date 18th September, 2025 were 23721.

The requisite quorum being present, Chairman called the meeting to order. The Chairman introduced the members of the Board and the invitees present at the meeting. Majority of the directors of the Company attended the meeting. The Chairman of the Audit Committee, Chairman Nomination and Remuneration Committee and Chairman of Stakeholders Relationship Committee were present at this meeting. The Chairman delivered his speech. The Chairman informed that the Company had provided the Members the facility to cast their vote electronically as well as through Ballot paper for all resolutions set forth in the Notice.
The Chairman informed that, remote e-voting commenced at 9:00 a.m. on Monday, 22[nd] September, 2025 and concluded at 5:00 p.m. on Wednesday, 24[th] September, 2025. Members who were present at the AGM and had not casted their votes electronically were provided an opportunity to cast their votes at the venue of the Meeting. Mr. Mukesh M. Pandya, CFO, read the Auditor’s Report.

The following items of business, as per the Notice of AGM dated August 14, 2025, were transacted at the meeting
- To receive, consider and adopt:
(a) the Audited Standalone Financial Statements of the Company for the financial year ended 31[st ] March, 2025 together with the Reports of the Board of Directors and Auditors thereon.

To appoint a Director in place of Mr. Bhavesh P Sheth (DIN: 02862487), who retires by rotation and being eligible offers himself for re-appointment.

To appoint a Director in place of Mrs. Soniya P Sheth (DIN: 02658794), who retires by rotation and being eligible offers himself for re-appointment.

To appoint Secretarial Auditors of the Company

To approve the continuation of Mr. Pravin V. Sheth (DIN: 00138797) as a Non-Executive Non Independent Director of the Company, pursuant to provisions of Regulation 17(1A) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The Company had appointed Mr. Ritesh Sharma of M/s Ritesh Sharma & Associates, Practising Company Secretary as the Scrutinizer for the purpose of scrutinizing the process of remote e- voting held prior and voting during the AGM.
On the invitation of the Chairman, Members who had registered themselves as speakers, addressed the Meeting and sought clarifications on the Company’s accounts and businesses. The Chairman responded to the queries of the Members and provided clarifications.
