• Sub: Approval of the Composite Scheme of Amalgamation and Arrangement amongst DVK Investments Private Limited (“Transferor Company 1”) and Aegean Properties Limited (“Transferor Company 2”) and Fermenta Biotech Limited (“Transferee Company”) and their respective Shareholders, under sections 230 to 232 of the Companies Act, 2013 (“Scheme”) by the Hon’ble National Company Law Tribunal, Mumbai Bench.

With reference to the captioned subject, we would like to inform you that the National Company Law Tribunal, Mumbai Bench (“NCLT”) has approved the Composite Scheme of Amalgamation and Arrangement amongst DVK Investments Private Limited (“Transferor Company 1”) and Aegean Properties Limited (“Transferor Company 2”) and Fermenta Biotech Limited (“Transferee Company”) and their respective Shareholders on 08[th] May 2023 and the order copy was uploaded on NCLT website on 09[th] May 2023. The certified copy of order is awaited.

The Scheme shall become effective upon filing certified copy of the order along with the Scheme with the Registrar of Companies, Mumbai.
