Item 4. Summary of Material Change

The Company announced that it entered into an investor relations agreement (the “ Agreement ”) with Triomphe Holdings Ltd. (DBA Capital Analytica) (“ Capital Analytica ”). Pursuant to the Agreement, Capital Analytica has agreed to provide investor relations and communications services to the Company in exchange for an aggregate amount of $120,000, payable in two equal installments, of which $60,000 has been paid and $60,000 is payable. The services will include on‐going social media consultation regarding engagement and enhancement, social sentiment reporting, social engagement reporting, discussion forum monitoring and reporting, corporate video dissemination and other related investor relations services. The term of the Capital Analytica agreement is for a period of six months.
