F1: On April 4, 2017, the 357,305 shares of Federated Investors, Inc. Class B Common Stock ("FII Class B Common Stock") held by the Mary Ita McGonigle Revocable Trust were transferred to the John McGonigle Revocable Trust. Mr. McGonigle and his wife are trustees of both revocable trusts. As a result of this transfer, Mr. McGonigle's pecuniary interest in the shares of FII Class B Common Stock did not change and this transfer is exempt from reporting under Rule 16a-13. The reporting person disclaims beneficial ownership of the Federated Investors, Inc. Class B Common Stock held by the John W. McGonigle Revocable Trust except to the extent of his pecuniary interest therein. This transaction did not involve any public sale of shares.
