PSP Award - 21 April 2021

On 21 April 2021 FDM Group (Holdings) plc ("FDM") granted awards over ordinary shares in the Company under the FDM 2014 Performance Share Plan (the "PSP"), as noted below. 

The vesting of the awards is subject to the achievement of a performance condition based upon FDM's earnings per share assessed over a three-year performance period commencing with FDM's 2021 financial year as follows

Adjusted EPS in the final financial year of the performance period	Vesting percentage

Greater than 35.7 pence but less than 38.3 pence	Determined on a straight line basis between 25% and 100%

The extent to which the awards vest will be subject to the Remuneration Committee's assessment of the overall financial performance of the Company over the performance period.

Ordinarily, the awards will vest (subject to the achievement of the performance condition) following the announcement of FDM's results for its 2023 financial year.

The awards will not be released, so that shares can be acquired, until the end of a holding period of two years beginning on the vesting date.

Each award has been granted in the form of an option with an exercise price per share of £0.01.
