FOR INFORMATION OF THE SHAREHOLDERS OF THE COMPANY
CORRIGENDUM TO THE NOTICE OF 82"° ANNUAL GENERAL MEETING (AGM) SCHEDULED TOBE HELD ON THURSDAY, SEPTEMBER 22, 2022 (AGM) AT 10.00 PM THROUGH VIDEO CONFERENCING/OTHER AUDIO-VISUAL MEANS
In due compliance with the provisions of the Companies Act, 2013 read with Rules made thereunder and Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, FDC Limited ("the Company") circulated a Notice dated August 04, 2022 ("AGM Notice") on August 29, 2022 to all its Shareholders for convening the AGM as mentioned above. This Corrigendum shall form an integral part of the Notice dated August 4, 2022 circulated to the Members of the Company and should be read in conjunction with the Notice.
Please take note of the following inadvertent omission of Explanatory Statement to Item No. 4 of the Notice.
4, Re-appointment of existing Statutory Auditors i.e. M/s. BSR & Co. LLP for a further period of 5 (Five) years
This Explanatory Statement is in terms of Regulation 36{5) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations").
The Members of the Company at 77 Annual General Meeting (AGM) held on August 19, 2017 had appointed M/s. BS R & Co. LLP, Chartered Accountants (ICAI Firm's Registration No. 101248W/W100022), (hereinafter referred to as "BSR") as the Statutory Auditors of the Company to hold office from the conclusion of 77" AGM until the conclusion of the 82" AGM of the Company. Accordingly, the present term of BSR as Statutory Auditors of the Company shall conclude at the 82" AGM. In terms of the provisions of Section 139 of the Companies Act, 2013 ("the Act"), the Companies (Audit and Auditors) Rules, 2014, and other applicable provisions, the Company can appoint or re-appoint an audit firm as Statutory Auditors for not more than two terms of five consecutive years.
M/s. BSR & Co. LLP, Chartered Accountants, have given their consent to act as Statutory Auditors of the Company and have confirmed that the said appointment, if made, will be in accordance with the conditions prescribed under Sections 139 and 141 of the Act.
Further the Board of Directors of the Company have decided to pay the same audit fee for the financial year 2022-2023, as paid in previous financial year to the tune of Rs. 45 Lakhs plus applicable taxes, certification charges from time to time and re-imbursement of the out of pocket expenses as may be incurred by the Auditors during the course of Audit/Limited Review and Certification for the financial year ending on March 31, 2023. The Board of Directors to be authorized to approve revisions to the remuneration of the Statutory Auditors for the remaining term of the tenure.
In view of vast experience, range of expertise and competency of the audit team, the Board of Directors based on the recommendation of the Audit Committee, at their meeting held on May 25, 2022 considered the matter relating to re-appointment of the Statutory Auditors and have unanimously recommended re-appointment of M/s. BS R & Co. LLP (ICAI Firm's Registration No. 101248W/W- 100022) as the Statutory Auditors of the Company, to hold office for a second consecutive term of five (5) years from the conclusion of the 82" Annual General Meeting of the Company till the conclusion of the 87" Annual General Meeting to be held for financial year 2026-2027, in accordance with the provisions of Sections 139, 142 and other applicable provisions, if any, of the Companies Act, 2013 and the Companies (Audit and Auditors) Rules, 2014, ata remuneration to be decided mutually by the Board and the Statutory Auditors.

औरंगाबाद : संदीपान भुमरे यांच्याकडून केल्या जाणाऱ्या शक्तिप्रदर्शनास मुख्यमंत्री आज पैठण येथे सभा घेणार आहेत. या सभेला गर्दी गोळा करण्यासाठी सरकारी यंत्रणेचा गैरवापर होत असल्याचे महिला व बालकल्याण विभागाच्या एका पत्राने स्पष्ट झाले असल्याचा आरोप विधान परिषदेचे विरोधी पक्ष नेते अंबादास दानवे यांनी केला आहे. उद्या दुपारी होणारी मुख्यमंत्र्याची ही सभा यतीची सभा असेल असे मंत्री भमरे यांनी जाहीर केले होते. या सभेला गर्दी गोळा करण्यासाठी थेट पैसेही वाटले जात असल्याचा आरोप दानवे यांनी केला आहे.
हे राजकीय शक्तिप्रदर्शन नाही तर पैठण मतदारसंघास दीड-दोन महिन्यांत दोन हजार कोटी रुपयांचा निधी दिला म्हणन आभार व्यक्त प्रदर्शन करण्यासाठी ही सभा आयोजित केल्याचा दावा मंत्री भुमरे यांनी केला होता. दरम्यान. सभेला गर्दी गोळा करण्यासाठी अंगणवाडी सेविकांना लिखित पत्र दिल्याचे स्पष्ट झाले. या सभेस उपस्थित राहण्यासाठी गटविकास अधिकाऱ्यांनी 'व्हिडिओ कॉन्फरन्स'ही घेतली होती. पैठण मतदारसंघातील ४२ गावातील अंगणवाडी सेविका आणि मदतनीस यांनी सभेस उपस्थित राहावे. असा
यंत्रणेचा गैरवापर होत असल्याचा आरोप झाला. 'अमक्याचे लग्न आणि तमक्याचे बिऱ्हाड' अशी टीका अंबादास दानवे यांनी केली.
ंदरम्यान, उद्या होणाऱ्या सभेत विकासकामांसाठी खुप सारा निधी दिला जात आहे आणि त्यामुळे पैठण मतदारसंघाचे रूप पालटेल, असे मंत्री भुमरे यांच्याकडून सांगितले जात आहे. संत ज्ञानेश्वर उद्यान सुरू करण्याचे प्रयत्न सुरू असून येत्या काही वर्षांत वॉटर पार्क उभे करण्याचा तसेच पैठणी क्लस्टर उभे करण्याची घोषणा मुख्यमंत्री करतील असे सांगण्यात येत आहे. आदित्य ठाकरे यांच्या सभेला पैठण मतदारसंघात झालेली गर्दी आणि त्यानंतर भुमरे सभेत दिसणाऱ्या रिकाम्या खुच्यांमुळे सोमवारी होणाऱ्या सभेस विक्रमी गर्दी व्हावे असे प्रयत्न सुरू झाले आहेत. मात्र, या प्रयत्नांना सरकारी यंत्रणांची जोड असल्याचे दिसून आल्याने ही सभा वादग्रस्त ठरू लागली आहे.

औरंगाबाद : मस्त्यशेतीनंतर आता खेकड्यांच्या माध्यमातून आर्थिक उत्पन्नाचा नवा स्रोत निर्माण करून देण्यासाठीचे संशोधन जवळपास पर्ण झालेले आहे. राज्यातील पश्चिम महाराष्ट्र, मराठवाड्यातील मिळून दीड हजारांवर इच्छुकांकडून खेकड्याच्या शेतीचा व्यवसाय करण्यासाठी तयारी दर्शवली आहे. खेकड्याची शेती मुख्यतः गोड्या व खाडीतील पाण्यावरची आहे. खाडीतील खेकड्याला सध्या मंबईत तीन हजार तर रत्नागिरीत दीड हजार रुपये किलोपर्यंतचा दर मिळत असून आरोग्याच्या दृष्टीने अनेक औषधी घटक खेकड्यांमध्ये असल्याने त्याची मागणी लक्षात घेऊन खेकड्याची शेती येत्या काळात वाढणार असल्याचे अभ्यासकांचे मत आहे. या पार्श्वभूमीवर बीजोत्पादन
उपलब्ध करून देण्यासाठी काम सुरू झाले आहे.
खेकड्यावरील संशोधन झाल्याच्या माहितीला रत्नागिरी येथील विद्याशाखा. मत्स्य मत्स्य महाविद्यालयाचे अधिष्ठाता डॉ. प्रकाश शिनगारे यांनीही दुजोरा दिला आहे. खेकडे दोन प्रकारांत आढळून येतात. गोड्या पाण्यातील खेकडा हा चालणारा. त्याला पाच पाय. पहिला समोरचा पाय चिमट्यासारखा. त्याद्वारे भक्ष्य किंवा खाद्य टिपण्याचे काम. त्याला डेंगा म्हटले जाते. तर इतर चार पाय काटेरी असतात. शेवटचा पाय टोकदार असतो. या पायांवर गोड्या पाण्यातील खेकडा चालतो. या खेकड्याला विभाग. प्रदेशानसार काळा, हिरवा किंवा भाटकुर्ली नावाने ओळखले जाते. बॅरिटेलीफसा

कुलुकुलारी हे त्याचे शास्त्रीय नाव. तर खाडीतील खेकडा हा पोहणारा. नाव-होडीतील त्याचे पाय वल्हेसारखा गोल आकाराचा. या गोड्या पायांच्या प्रकारावरून पाण्यातील व खाडीतील खेकडा ओळखता येतो. गोड्या पाण्यातील खेकड्याची मादी एका वेळी बाराशेपर्यंत पिलांना पोटात वाढवते.
ठिकाणीही खेकड्याला ३०० रुपये किलोपर्यंतचा दर मिळत असून मोठी मागणी वाढत आहे, असे रत्नागिरीच्या मत्स्य विद्या शाखा. मत्स्य महाविद्यालयाच्या संवर्धन विभागाचे प्रमुख डॉ. सुरेश नाईक यांनी सांगितले. खेकड्याची शेती करण्यासाठी कोल्हापूर, सांगली, सातारा, पंढरपूर, बीड, नांदेड, औरंगाबाद, धुळे आदी भागातील अनेकांनी रत्नागिरीच्या मत्स्य महाविद्यालयातील मत्स्य संवर्धन विभागाशी संपर्क साधुन बीज उपलब्ध करून देण्याविषयीही विचारणाही केली आहे. या संदर्भाने खेकड्यांच्या जाती, खाद्य, वाढ, आदी सर्व प्रकारचे संशोधन झालेले असन काही विद्यार्थी खेकड्यांवर पीएच.डी.ही करत आहेत.

औरंगाबाद : खासगी शाळांना जगवण्यासाठी आमदार प्रशांत बंब यांनी जिल्हा परिषद शाळा आणि शिक्षकांना बदनाम करण्याच्या उद्देशाने मुख्यालयी राहण्यासंबंधीचे वक्तव्य केलेले असून या संदर्भाने मुंबई उच्च न्यायालयानेही एक याचिका फेटाळली असल्याचे सांगत येथे रविवारी निघालेल्या सन्मान फेरी काढण्यात आली. भरपावसात निघालेली फेरी आणि विभागीय आयुक्तालयासमोरील प्रांगणात झालेल्या सभेदरम्यान आमदार बंब यांचा निषेध व्यक्त करत त्यांच्यावर टीका करण्यात आली.
या टीकेला सायंकाळी पत्रकार बैठक घेऊन आमदार बंब यांनीही प्रत्त्युत्तर दिले. सुमारे १८ ते २० विविध शिक्षक संघटनांकडून काढण्यात आलेल्या या मोर्चाचे नेतृत्व शिक्षक भारतीचे संस्थापक अध्यक्ष तथा आमदार कपिल पाटील, मराठवाडा पदवीधर मतदार संघाचे आमदार सतीश चव्हाण, शिक्षक मतदार संघाचे आमदार विक्रम काळे, नाशिकमधील आमदार डॉ सुधीर तांबे आदींनी केले. आमदार बंब यांनी शिक्षक, पदवीधर मतदारसंघच रद्द करण्याची भूमिका व्यक्त केल्याच्या मुद्द्यावर त्यांच्यावर टीका करताना सभेमध्ये डॉ. बाबासाहेब आंबेडकर यांनी लिहिलेली घटना आमदार बंब आणि त्यांच्या बोलवित्या धनींना मान्य नसल्याची टाकी करण्यात आली. या टीकेला उत्तर देताना पत्रकार बैठकीत आमदार बंब यांनी कोणाची हिंमत घटना बदलण्याची आहे ? तो जिवंत राहील का. असा प्रश्न उपस्थित करून कुठल्याही मुद्द्याचा प्रतिवाद करता आला नाही की, मुंबई तोडायची आहे, घटना बदलायची आहे, असे कारण पुढे करून मूळ मुद्द्यापासून भरकटवण्याचा उद्योग करायचा, असे सांगत आमदार चव्हाण व काळे यांच्यावर टीकास्त्र

सदर स्पष्टीकरणात्मक निवेदन हे सेबी (लिस्टिंग ऑब्लिगेशन्स ॲण्ड डिस्क्लोझर रिक्वायरमेन्ट्स) नियमावली २०१५ (लिस्टिंग ऑब्लिगेशन्स)च्या नियमावली ३६(५)च्या अनुसार आहे.

- सध्याचे संवैधानिक लेखापरीक्षक म्हणजेच मे. बीएसआर ॲण्ड कं. एलएलपी यांची पुढील ५ (पाच) वर्षांसाठी पुनर्नियुक्ती करणे.
कंपनीच्या सभासदांनी ऑगस्ट १९, २०१७ मध्ये झालेल्या त्यांच्या ७७व्या वार्षिक सर्वसाधारण सभेमध्ये मे. बी एस आर ॲण्ड कं. एलएलपी, चार्टर्ड अकाऊन्टन्ट (आयसीएआय संस्था नोंदणीकरण क्र. १०१२४८ डब्ल्य/१०००२२), (यानंतर ''बीएसआर'' असा संदर्भ असलेले) यांची कंपनीचे संवैधानिक लेखापरीक्षक म्हणून ७७वी वार्षिक सर्वसाधारण सभा संपल्यापासून ८२व्या वार्षिक सर्वसाधारण सभेपर्यंत नियुक्ती करण्यात आली होती. त्यानुसार, ८२वी एजीएम संपल्यानंतर कंपनीचे लेखापरीक्षक म्हणून बीएसआर यांची सध्याची मुदत संपणार आहे. कंपनी कायद्याच्या २०१३च्या कलम २०१३च्या (कायदा) कलम १३३च्या तरतुदीच्या अनुसार कंपनी (लेखापरीक्षण आणि लेखापरीक्षक) नियमावली २०१४ आणि लागू असलेल्या अन्य 'तरतुर्दीच्या अनुसार कंपनी पाच सलग वर्षांच्या असलेल्या दोन मुदतींपेक्षा अधिक वेळा संवैधानिक लेखापरीक्षक म्हणून लेखापरीक्षण संस्थेची पुनर्नियुक्ती करू शकत नाहीत.
लेखापरीक्षण संघाचा विपुल अनुभव, उपलब्ध असणारे कौशल्य आणि सक्षमता लक्षात घेऊन, लेखापरीक्षण समितीच्या शिफारशीवर आधारित संचालक मंडळाने २५ मे २०२२ रोजी झालेल्या त्यांच्या बैठकीत वैधानिक लेखापरीक्षकांच्या पुनर्नियुक्तीबाबत विचार केला आणि सर्वानुमते मे. बीएसआर ॲण्ड कं. एलएलपी (आयसीएआय संस्था नोंदणी क्र. १०१२४८डब्ल्यू/डब्ल्यू-१०००२२) कंपनीचे वैधानिक लेखापरीक्षक म्हणून, ८२व्या वर्षांच्या समाप्तीपासून सलग दुसऱ्या पाच (५) वर्षांसाठीच्या मुदतीसाठी म्हणजेच आर्थिक वर्ष २०२६-२७ आयोजित केल्या जाणाऱ्या ८७व्या वार्षिक सर्वसाधारण सभेच्या समाप्तीपर्यंत म्हणजे पाच (५) वर्षांच्या कालावधीसाठी सलग दुसऱ्या मदतीसाठी कंपनी कायदा २०१३च्या कलम १३९, १४२च्या आणि, जर लागू असल्यास, अन्य तरतुदीनुसार नियुक्ती करण्यात येणार आहे आणि कंपनी (लेखापरीक्षण आणि लेखापरीक्षक) नियमावली २०१४ अनुसार संचालक मंडळाद्वारे निर्णयाच्या अनुसार मानधन निश्चित करण्यात येईल.
मे. बीएसआर ॲण्ड कं. एलएलपी, चार्टर्ड अकाऊन्टन्ट, यांनी कंपनीचे वैधानिक लेखापरीक्षक म्हणून काम करण्यास त्यांची संमती दिली आहे आणि पुष्टी केली आहे की, जर ही नियुक्ती केली गेली असेल तर ती कायद्याच्या कलम १३९ आणि १४१ नुसार विहित केलेल्या अटींनुसार असेल. पुढे कंपनीच्या संचालक मंडळाने २०२२-२०२३ या आर्थिक वर्षासाठी समान लेखापरीक्षण शुल्क भरण्याचा निर्णय घेतला आहे, जो मागील आर्थिक वर्षात रु. ४५ लाख अधिक लागू कर, वेळोवेळी प्रमाणन शुल्क आणि ३१ मार्च २०२३ रोजी संपणाऱ्या आर्थिक वर्षासाठी ऑडिट/ मर्यादित पुनरावलोकन आणि प्रमाणनदरम्यान लेखापरीक्षकांद्वारे होणाऱ्या खिशातील खर्चाचे पुनर्वितरण अशा स्वरूपाचा असेल. संचालक मंडळाला वैधानिक लेखापरीक्षकांच्या कार्यकाळाच्या उरलेल्या कालावधीसाठीच्या मोबदल्यात सुधारणा मंजूर करण्यासाठी अधिकृत केले जाईल.
ंबीएसआर ॲण्ड कं.ची स्थापना २७ मार्च १९९० रोजी भागीदारी संस्था म्हणून करण्यात आली होती ज्याचा नोंदणी क्रमांक १०१२४८डब्ल्य असा आहे. त्यानंतर १४ ऑक्टोबर २०१३ रोजी त्याचे मर्यादित दायित्व भागीदारी म्हणजेच बीएसआर ॲण्ड कं. एलएलपीमध्ये रूपांतर करण्यात आले ज्याद्वारे नवीन संस्था नोंदणी क्र. १०१२४८डब्ल्यू/डब्ल्यू-१०००२२ असा झाला. सदर संस्थेचे नोंदणीकृत कार्यालय १४वा मजला, सेन्ट्रल बी विंग आणि नॉर्थ सी विंग, नेस्को आयटी पार्क ४, नेस्को सेन्टर, वेस्टर्न एक्स्प्रेस हायवे, गोरेगाव (पूर्व), मुंबई-४०० ०६३ येथे आहे. बीएसआर ॲण्ड कं. एलएलपी ही बी एस आर ॲण्ड ॲफिल्टिीज जे इन्स्टिट्यूट ऑफ चार्टर्ड अकाऊन्टन्ट म्हणून नोंदणीकृत असलेल्या संस्थेचे सभासद आहेत.
बीएसआर ॲण्ड कं. एलएलपीची नोंदणी मुंबई, गुरगाव, बंगलोर, कोलकाता, हैदराबाद, पुणे, चेन्नई, चंदिगड, अहमदाबाद, वडोदरा, नॉयडा, जयपूर आणि कोचीमध्ये करण्यात आली आहे. बीएसआर ॲण्ड कं. एलएलपीचे ३०० पेक्षा जास्त कर्मचारी आणि १०० पेक्षा अधिक भागीदार आहेत. बीएसआर ॲण्ड कं. एलएलपी भारतातील स्टॉक एक्स्चेंजवर सूचिबद्ध असलेल्या विविध कंपन्यांचे ऑडिट करते, ज्यात फार्मास्युटिकल्स क्षेत्रातील कंपन्यांचा समावेश आहे. सदर संस्थेकडे ''आयसीएआय''ने जारी केलेले पीअर रिव्ह्यू प्रमाणपत्र आहे.
कंपनीचे संचालक, प्रमुख व्यवस्थापकीय कर्मचारी आणि त्यांचे नातेवाईक यापैकी कोणीही, कोणत्याही प्रकारे संबंधित किंवा या ठरावात स्वारस्य नाही. संचालक मंडळ सामान्य ठराव म्हणून भागधारकांच्या मान्यतेसाठी ठराव क्रमांक ४ची शिफारस करते.
