Appointment of Director

FBD Holdings plc ("FBD" or the "Group") is pleased to announce the appointment of Mr. Ruairi O'Flynn as an independent non-executive Director with immediate effect.  Mr. O'Flynn is currently chairman of Canada Life International Reinsurance and London Life and General Reinsurance.  He is also a non-executive Director of Irish Life Investment Managers and Setanta Asset Management.

Mr. O'Flynn has over 20 years experience at CEO and Board level in the financial services industry in Ireland and the UK.  In April 2014 he retired from the role of CEO of Canada Life Ireland, and his 12 years at Canada Life also included the role of CEO at Setanta Asset Management.  Prior to that Mr. O'Flynn spent 26 years with Bank of Ireland Group in a variety of senior executive roles spanning strategy and development and as Managing Director of Lifetime Assurance.

Mr. O'Flynn lectures on Strategy and Corporate Governance and is a participant in the 2015 International Directors Programme at Insead Business School.  He holds a first class honours Bachelor of Business Studies degree from Trinity College Dublin and an Msc (Management) in Organisational Behavior from the same university.

Audit Committee Changes

Mr. O'Flynn has also been appointed as a member of the Audit Committee with immediate effect in place of Mr. Eddie Downey who has today stepped down from this role.

Commenting on the changes announced, the Chairman, Mr. Michael Berkery, said:

"I am delighted to announce Mr. O'Flynn's appointment to the Board and to the Audit Committee.  He brings a wealth of experience to FBD and I look forward greatly to his contribution to the Group over the coming years."

1.    There are no details requiring disclosure in respect of Mr. O'Flynn under listing rule 6.6.7 (2) to (6) of the Irish Stock Exchange; and

2.    There are no details requiring disclosure in respect of Mr. O'Flynn under listing rule 9.6.13 (2) to (6) of the UK Listing Authority.
