FBD Holdings plc ("FBD" or the "Group") announces the following changes to the Board of Directors following a Board meeting and the Annual General Meeting held earlier today.

Retirement of Mr. Vincent Sheridan

As announced on 28 March 2014 at the time of the publication of the 2013 Annual Report and Notice of Annual General Meeting, Mr. Vincent Sheridan retired as a non-executive Director at the conclusion of the Annual General Meeting ("AGM") today.  At the AGM, the Chairman, Mr. Michael Berkery, paid tribute to Mr. Sheridan's contribution to the Board and to the development of the Group in his nine years as a non-executive Director: 

"His experience of the general insurance industry in Ireland and of corporate governance, risk management, accounting and auditing were of immense value to the Board and to the Group.  In addition to his responsibilities as Senior Independent Director and as Chairman of the Audit Committee, in the past four years, Mr. Sheridan served as a non-executive Director of the Group's principal subsidiary, FBD Insurance plc and we are fortunate that he has agreed to remain on that company's board in the future."

Appointment of Senior Independent Director and Chairman of Audit Committee

At the Board meeting today, Mr. Sean Dorgan was appointed as Senior Independent Director and as chairman of the Audit Committee.  Mr. Dorgan joined the Board, and the Audit Committee, in 2008.  He was appointed as chairman of the Remuneration Committee in December 2011 and will continue to hold this role.

Appointment of additional independent non-executive Director

At its meeting today, the Board approved the appointment of Mr. Eddie Downey as an independent non-executive Director and as a member of the Audit Committee.  Mr. Downey is the 14th President of the Irish Farmers' Association having taken up office in January of this year.   Mr. Downey is also a director of Bord Bia,, the Irish Food board, which has responsibility for developing overseas markets for Irish food, and of The Agricultural Trust, which publishes the Irish Farmers Journal.

In addition to his general commercial experience and acumen, Mr. Downey brings to the Board his considerable insights into the dynamics of Ireland's agricultural community and industry - considered key attributes by the Board given the importance of the Group's farming customers to it.

There are no details requiring disclosure for Mr. Downey under paragraph 6.6.7 (1) to (6) of the Listing Rules of the Irish Stock Exchange and Listing Rule 9.6.13 (1) to (6) of the Listing Rules of the UK Listing Authority.
