ANNOUNCEMENT RE EXTRA ORDINARY GENERAL MEETING TO APPROVE OFF MARKET TAKEOVER FOR ALPHA WEALTH FINANCIAL SERVICES PTY LTD

Atech Holdings Ltd ("Atech") is pleased to announce that it intends acquiring 100% of the shares in Alpha Wealth Financial Services Pty Ltd ("Alpha") by way of an off market takeover.

Given the size and nature of the proposed acquisition, Atech intend to give shareholders' the opportunity to vote on the acquisition.

The bid is conditional upon shareholder approval and, therefore, if shareholder approval is not obtained, the bid will not proceed. Atech will shortly dispatch documentation in relation to the forth coming meeting of shareholders.

Alpha is a corporate advisory firm specialising in the South East Asian market, and is currently in the process of completing a number of deals ranging from resources to telecommunications. It is the intention of Atech to acquire Alpha to expand and complement those activities and open further offices and opportunities throughout South East Asia.

Currently Alpha has offices in Melbourne and Shanghai with the office opening in US.

It is Atech's intention to forward the proposed bidder statement to the Australian Securities & Investment Commission for comment, later this week.
