Fatfish Signs Definitive Agreement with Blockchain Fund of Funds, Epsilon Capital

Reference is made to the ASX announcement made by Fatfish Internet Group Ltd (“ Fatfish ” or the “ Company ”) on 3 May 2018 regarding the Company’s incubation of and intention to further invest in Epsilon Capital Management Ltd (“ Epsilon Capital ”).

The Company is pleased to announce that Fatfish Disruptive Ventures Ltd, a wholly-owned subsidiary of the Company (“ FDV ”), has entered into a share subscription agreement with Epsilon Capital Management Limited (“ Share Subscription Agreement ”) that includes the following material terms:

• I. FDV will subscribe for 10% of Epsilon Capital’s ordinary share capital for a consideration of US$500,000 (“ Subscription Price ”), where the Subscription Price will be paid in two equal tranches to Epsilon.

• II. In consideration of FDV’s prior effort in providing support and services to incubate the founding of Epsilon Capital a total of US$50,000 shall be subtracted from the second tranche of the Subscription Price and FDV will receive an additional 10% of Epsilon Capital’s ordinary share capital.

• III. FDV will have a total shareholding of 20% in Epsilon Capital upon completion of the Share Subscription Agreement.

A Fatfish representative will join Epsilon Capital’s Board of Directors to combine the blockchain and cryptocurrency experience of Fatfish with the global expertise of Epsilon Capital co-founders in corporate finance, fund management, investment banking and capital markets.

Headquartered out of London, Epsilon Capital is a technology fund management business that aims to set up a global fund of funds business that focuses in investing into venture capital firms and funds that will give institutional investors and family offices regulatory compliant access to best-of-breed investment strategies by specialist fund managers that specialise in cryptocurrency and blockchain technologies.

The Company notes the following in relation to cryptocurrency-related business activities:

• investment into cryptocurrency is high risk in nature as cryptocurrency is currently highly speculative;

• cryptocurrency prices are currently volatile; and

• cryptocurrency-related businesses have a number of other risks factors, including but not limited to the following:

  • (i) the development of new regulatory framework involving cryptocurrencies;

  • (ii) cryptocurrencies, cryptocurrency exchanges and its related topics of Initial Coin Offerings (ICO) have raised regulatory issues across multiple jurisdictions. A number of regulators have issued guidance on the relevance of their existing securities and financial services laws with regards to ICOs that have underlying cryptographic tokens that are securities or investment in nature; and

  • (iii) in many countries cryptocurrencies are subject to anti-money laundering and counter-terrorism funding legislations.

For its cryptocurrency-related business activities, the Company will always endeavour to the best of its ability to ensure that the Company and its subsidiaries comply with relevant local in-country regulatory requirement.
