Fatfish Enters Into Strategic Joint Venture

AutoDirect Corporation Ltd (ADC), a unit of Fatfish Internet Group Limited (ASX:FFG), entered into a Strategic Joint Venture (SJV) with FinTech Asia Group Ltd (FAG), a firm specializing in provision of technology and services to the financial industry.

FAG will acquire from ADC, RajaPremi, an operating online insurance portal in Indonesia which has its domain at http://www.rajapremi.com/, for a consideration of USD7m (AUD 8.4m) via the issuance of 100,000 FAG shares at an issue price of USD70 per share. Prior to this transaction, Chuah Wei Wan was the sole shareholder with 100,000 FAG shares (50,000 FAG shares issued at USD1 per share and 50,000 FAG shares issued at USD139 per share). Upon completion and execution of this SJV, ADC will own 50% of the equity in FAG. ADC will have the right to make appointments to the Board of FAG.

Under the SJV, FAG will be launching RajaKredit.co.id (RajaKredit) which will be a premier online financing platform delivering comprehensive risk analytics and loan matching services for consumer micro loans in Indonesia. Leveraging on RajaKredit, Rajapremi will enhance its scope in the current online comparison and provision of insurance in the automobiles and vehicles market to a platform for a wider range of insurance products in Indonesia.
