Withdrawal of AGM Resolution

Falcon Metals Ltd (ASX: FAL) (“ Falcon ” or the “ Company ”), wishes to advise shareholders that it is withdrawing Resolution 7 (Amendments to the Constitution) referred to in the 2022 Notice of Annual General Meeting and Explanatory Memorandum dated 28 October 2022 from the business of the Company’s 2022 Annual General Meeting ( AGM ) which is to be held at 12.00 PM (AEDT) on Tuesday, 29 November 2022.

The proposed amendments to the Company’s Constitution allowed the Company to hold fully virtual general meetings of shareholders. Whilst the Company believes that the amendment would be beneficial to shareholders, it has become aware of reservations expressed by certain shareholders and consequently has withdrawn the resolution.

The withdrawal of Resolution 7 will not affect the validity of proxy forms, or any proxy votes, submitted in respect of the remaining items of business to be considered at the AGM.

This announcement has been approved for release by the Board of Falcon Metals.
