Linz, 20April 2020. The Management Board of FabasoftAGtodayresolved based on the authorisation bytheAnnual General Meeting on July1, 2019 and approved bythe SupervisoryBoard to sell up to 277,257 treasuryshares held bythe company.
The treasuryshares are sold byM.M. Warburg &Co (AG&Co.) KGaAwithin the framework of an accelerated bookbuilding process byway of a private placement to institutional investors against the placement price of EUR23.50 per share. The shareholders' subscription rights are excluded.
The proceeds from the placement of treasuryshares strengthen the company's equitybase and serve the announced corporate interests.
