Business Model
The Fabasoft Group's business model is based on the sale of its own software products under the umbrella brand name Fabasoft and the provision of services related to these products. Products and services are sold to both private customers and clients in the public sector.
In the private sector market access is carried out in some cases together with sales and implementation partners. Sales activities focus on companies that want to quickly and cost-efficiently implement electronic document management, records management, electronic collaboration – internal and cross-company – and the company-wide finding of information, on the one hand to achieve competitive advantage and on the other hand to fulfil ever increasing compliance requirements. Services are offered both as on-premises solutions and also as a cloud service, depending on the requirements of the customer. The product families Fabasoft Folio, Fabasoft eGov-Suite, Mindbreeze and Fabasoft app.telemetry form the core of this business.
Fabasoft sees a particular unique advantage of its product offering in the integrated development environment for the agile and cost-effective creation, quality assurance and operational management of document-centric specialist applications.
Public sector customers are predominantly supported by Fabasoft's own sales companies in Germany, Austria and Switzerland. Market access in these countries mainly takes place using a direct sales approach. The successful participation in public tenders is a key feature of this, especially in the case of business with new clients. Thematically, public sector business primarily centres around case and process management and eGovernment. The Fabasoft sales organisations have their own project organisations. If needed, these companies also take over as general contractor for project implementation and realise additional and follow-up projects. In addition, the company endeavours to establish and develop project partnerships with local providers in new geographies.
Alongside the conventional form of software usage in the customers' data centres (on-premise) Fabasoft also offers new usage models in the form of cloud services. Im ersten Quartal des Geschäftsjahres 2013/2014 lagen die Umsatzerlöse (1. April 2013 – 30. Juni 2013) mit TEUR 5.684 um 12,3% über dem Vorjahresvergleichswert (TEUR 5.062).
Das Betriebsergebnis (EBIT) stieg in den ersten drei Monaten des Geschäftsjahres 2013/2014 auf TEUR 112 (Vergleichszeitraum des Vorjahres: TEUR -657).
Das EBITDA erhöhte sich im Berichtszeitraum auf TEUR 528 (TEUR -283 im Vergleichszeitraum des Vorjahres).
Die Eigenkapitalquote des Unternehmens betrug zum Zwischenbilanzstichtag 55,2% (55,4% zum 30. Juni 2012).
Der Bestand an liquiden Mitteln verringerte sich von TEUR 14.741 zum 30. Juni 2012 auf TEUR 12.672 zum 30. Juni 2013.
Zum Zwischenbilanzstichtag 30. Juni 2013 beschäftigte der Fabasoft Konzern 198 Mitarbeiterinnen und Mitarbeiter (211 Mitarbeiterinnen und Mitarbeiter zum 30. Juni 2012).

Mindbreeze wurde im Gartner "Magic Quadrant for Enterprise Search" im Quadranten "Challengers" positioniert. Die amerikanische Analystengruppe Gartner Inc. bewertet darin marktrelevante Anbieter anhand von Kriterien wie Marktdurchdringung, Innovations- und Umsetzungsstärke. Diese Evaluierung zählt zu den weltweit einflussreichsten Marktanalysen im Feld von Enterprise Search Software.
Fachanwendung für das Förderreferat der Wirtschaftskammer Wien umgesetzt
Für die optimale Betreuung der Mitglieder bei Anfragen zu Förderungen wurde für das Förderreferat der Wirtschaftskammer Wien eine Fachanwendung entwickelt und im Mai 2013 in Betrieb genommen. Mit der Anwendung haben die Mitarbeiterinnen und Mitarbeiter der Wirtschaftskammer Wien sofort einen Überblick, welche Informationen ein Unternehmen erhalten hat, welche Berater bei laufenden Förderanträgen tätig sind oder welche Resultate bei bereits eingereichten Förderungen erzielt wurden. Die im Zuge dieses Projektes implementierte SAP-Schnittstelle ermöglicht es, Rechnungen direkt aus der Fachanwendung ins SAP-System zu übernehmen.

In the first three months of the fiscal year 2013/2014 (1 April 2013 to 30 June 2013) sales revenue amounted to EUR 5,684 tsd, which represented a increase of 12.3% compared with the figures for the previous year (EUR 5,062 tsd).
The operating result (EBIT) for the first three months of the fiscal year 2013/2014 increased from EUR -657 tsd (previous corresponding period) to EUR 112 tsd.
In the period under review EBITDA rose from EUR -283 tsd (previous corresponding period) to EUR 528 tsd.
On the interim-balance sheet date (30 June 2013) the company's equity ratio stood at 55.2% (55.4% as at 30 June 2012).

The American analyst group Gartner Inc. uses this to rate market relevant vendors according to criteria such as market penetration and innovation and implementation. This rating ranks among the world's most influential market analyses for Enterprise Search Software.
Specialist application implemented for Vienna Chamber of Commerce funding department
In order to professionally handle funding inquiries of members, a specialist application was created for the Vienna Chamber of Commerce funding department which went in operation in May 2013. With this application, staff at the Chamber of Commerce have an immediate overview of what information the company has already received, which consultants are working on current funding applications or the outcome of funding applications which have already been submitted. The SAP interface implemented as part of this project enables invoices to be transferred directly from the specialist application to the SAP system.
Fabasoft gewinnt EuroCloud Deutschland Award
Am 14. Mai 2013 wurden im Rahmen der EuroCloud Deutschland Conference 2013 die besten Cloud-Lösungen Deutschlands prämiert. Fabasoft siegte in der Kategorie "Cloud Service Anwender: Best Business Impact". Ausgezeichnet wurde ein Service basierend auf Folio Cloud, der bei der Daimler AG eingesetzt wird. Der Automobilhersteller optimiert damit unternehmens- und länderübergreifend das Management von Produktzertifikaten für Fahrzeugkomponenten.
Kommunix archiviert mit Fabasoft
Im Rahmen eines gemeinsamen Projektes wurde eine Schnittstelle zwischen dem eingesetzten Fachverfahren von Kommunix und der DMS-Komponente der Fabasoft eGov-Suite entwickelt. Dadurch kann auf die Akten aus dem Fachverfahren digital zugegriffen werden bzw. können diese in einem Archiv gespeichert werden. Es ist geplant, die Schnittstelle standardmäßig in die Kommunix-Software zu integrieren, um die Fabasoft eGov-Suite als Archivsystem zu nutzen. Die Kommunix GmbH mit Hauptsitz in Unna ist ein führender deutscher Anbieter von Fachanwendungen im Bereich kommunaler Softwarelösungen – insbesondere für Ausländer- und Staatsangehörigkeitsbehörden.
Verlängerung des Fabasoft-Rahmenvertrags im Land Niedersachsen
Im Juni 2013 wurde die Zusammenarbeit zwischen Fabasoft und dem Land Niedersachsen um weitere fünf Jahre verlängert. Derzeit arbeiten mehr als 12 Pilotorganisationen im Land Niedersachsen mit der Fabasoft eGov-Suite, die auch als Basis für bestehende Fachverfahren dient.
Radio Blind Power und Fabasoft gewinnen den EuroCloud.Austria Award
Radio Blind Power und Fabasoft wurden mit dem EuroCloud.Austria Award 2013 in der Kategorie "Best Case Study Commercial Sector" ausgezeichnet. Folio Cloud ermöglicht es, sehbehinderten und blinden Journalisten des Radiosenders unabhängig und mobil (über eine App) die Beiträge zu planen, zu schreiben und direkt an die Redaktion zu übermitteln. Die Preisverleihung fand im Rahmen des EuroCloud Days am 26. Juni 2013 in Wien statt.
Wiener Wohnen gewinnt ECM Award für mobilen Baumkataster
Wiener Wohnen zählt zu den größte Hausverwaltungen Europas. Das bisherige Baumverwaltungssystem war durch den teils manuellen Bearbeitungsvorgang sehr zeitintensiv. Gemeinsam mit dem Umsetzungspartner CSC Austria GmbH entwickelte Wiener Wohnen auf Basis von Fabasoft Folio einen mobilen Baumkataster. Mittels Handheld und Lesegerät sind die Daten, welche Pflegemaßnahmen zu tätigen sind, nun sofort verfügbar. Fabasoft Folio dient dabei als Schnittstelle zwischen SAP und den mit den mobilen Geräten erfassten Daten und verwaltet zudem die mit GIS gekoppelten Pläne, zur exakten Bestimmung des Baum-Standortes. Für diese Umsetzung erhielt Wiener Wohnen gemeinsam mit der CSC Austria GmbH am 20. Juni 2013 den ECM Award in der Kategorie "Innovative Umsetzung".
Änderungen im Konsolidierungskreis
Laut Beschluss vom 9. April 2013 wurde die Mindbreeze Software GmbH in Mindbreeze GmbH umbenannt.
Laut Abtretungsvertrag vom 7. Mai 2013 wurden 10% der Geschäftsanteile der Faba5 GmbH, gehalten von Markus Tripp, an die Fabasoft AG abgetreten. Die Fabasoft AG hält somit 100% des Stammkapitals der Faba5 GmbH.
Mit Verschmelzungsvertrag vom 13. Juni 2013 wurden die Fabasoft Medical GmbH und die app.telemetry GmbH rückwirkend zum 31. März 2013 mit der Fabasoft R&D GmbH verschmolzen.
Ereignisse nach dem Zwischenbilanzstichtag
Mit Verschmelzungsvertrag vom 10. Juli 2013 wurde die Faba5 GmbH zum Stichtag 31. März 2013 mit der Fabasoft R&D GmbH verschmolzen.
Ansonsten traten nach dem 30. Juni 2013 keine wesentlichen Ereignisse für den vorliegenden Konzernzwischenabschluss ein.
Fabasoft wins EuroCloud Germany Award
The best cloud solutions in Germany were awarded at the EuroCloud Germany Conference 2013 held on 14 May 2013. Fabasoft won in the category "Cloud Service Provider: Best Business Impact". The award was in recognition of a service based on Folio Cloud which is in use at Daimler AG. The car manufacturer uses it to optimise the management of product certificates for automotive components across different companies and countries.
Kommunix archiving with Fabasoft
As part of a joint project, an interface has been developed between the specialist application from Kommunix and the DMS component of Fabasoft eGov-Suite. With this use case, files from the specialist application can be digitally accessed or saved in an archive. There are plans to integrate the interface in the Kommunix software as standard to use Fabasoft eGov-Suite as the archive system. Komminux GmbH, with its headquarters in Unna, is a leading German provider of specialist applications in the area of communal software solutions – in particular for authorities dealing with foreign nationals and citizenship matters.
Fabasoft framework agreement extended in Lower Saxony
The collaboration partnership between Fabasoft and Lower Saxony was extended by a further five years in June 2013. Around 12 pilot organisations are currently working with Fabasoft eGov-Suite which also acts as the basis for specialist applications.
Radio Blind Power and Fabasoft win EuroCloud.Austria Award
Radio Blind Power and Fabasoft received the EuroCloud.Austria Award 2013 in the category "Best Case Study Commercial Sector". Folio Cloud enables the radio station's visually impaired and blind journalists to plan and write contributions independently and while on the move (via a mobile app) and then send them directly to the editorial office. The award was presented on 26 June 2013 in Vienna as part of the EuroCloud Days.
Wiener Wohnen wins ECM Award for mobile tree register based
The City of Vienna's Wiener Wohnen is the largest public housing authority in Europe. The previous tree management system for tree care was very time-intensive due to its partly manual handling procedures. Together with implementation partner CSC Austria GmbH, Wiener Wohnen developed a mobile tree register based on Fabasoft Folio. Using a handheld device and reader the data recorded is available immediately and the company has an immediate overview of any care activities that are required. Fabasoft Folio acts here as an interface between SAP and the data recorded with the mobile devices and also manages the plans linked with GIS to determine the exact location of the tree. Wiener Wohnen and CSC Austria GmbH received the ECM Award in the category "Innovative Implementation" for this implementation. The award was presented on 20 June 2013 in Vienna.
Changes to the scope of consolidation
Mindbreeze Software GmbH was renamed Mindbreeze GmbH in a resolution passed on 9 April 2013.
Further to the contract of assignment of 7 May 2013 10% of the shares of Faba5 GmbH, held by Markus Tripp, were transferred to Fabasoft AG. Fabasoft AG thus holds 100% of the capital stock of Faba5 GmbH.
In a merger agreement dated 13 June 2013 Fabasoft Medical GmbH and app.telemetry GmbH were merged retrospectively with Fabasoft R&D GmbH on 31 March 2013.
Events after the interim balance sheet date

Enterprise Produkte
Fabasoft Folio
Ein Schwerpunkt der Forschungs- und Entwicklungstätigkeit im ersten Geschäftsjahresquartal 2013/2014 lag im Bereich des Geschäftsprozessmanagements. Das neue webbasierte graphische Modellierungswerkzeug für Geschäftsprozesse auf Basis des international anerkannten Standards BPMN 2.0 (Business Process Model and Notation) wurde weiter verbessert. Mit der neu umgesetzten Prozessablage können Geschäftsprozesse strukturiert modelliert und abgelegt werden. Darüber hinaus ist es nun möglich Geschäftsprozesse mit Dokumenten (z.B. Richtlinien, Arbeitsanweisungen, etc.) und anderen Geschäftsobjekten zu verknüpfen. Die in dieser Prozessablage erstellten Prozessdiagramme können direkt ausgeführt werden. In der Workflow-Engine werden zusätzlich zu den bisherigen Elementen nun auch Teilprozesse und Schleifen unterstützt. Damit sind Geschäftsprozesse modular aufbaubar und eine Wiederverwendung der einzelnen Prozessbausteine ist möglich.
Fabasoft eGov-Suite
Im ersten Quartal des Geschäftsjahres 2013/2014 wurde die Edition Fabasoft eGov-Suite Bayern in der Version 2013 zur Verfügung gestellt. Darüber hinaus beschäftigte sich das Team mit den Themen Aussonderung und XDOMEA 2.1 für die Fabasoft eGov-Suite DEU. Neben der Wiederherstellung des 4-stufigen Aussonderungsverfahrens wurden neue Use-Cases implementiert, die die Vernichtung von Alt-Akten und Alt-Vorgängen unterstützen. Ab der Fabasoft eGov-Suite 2012 können somit Geschäftsobjekte, die nach einer bestimmten Zeit gelöscht werden müssen, komfortabel entsprechen dieser Norm aus der Fabasoft eGov-Suite entfernt werden. Als Vorbereitung für eine moderne Aussonderung wurde der Export in das XDOMEA 2.1 Format implementiert. Komplette Geschäftsobjektstrukturen können bereits ab der Fabasoft eGov-Suite 2012 in das XDOMEA Format der Version 2.1 überführt und exportiert werden.
Parallel zu den Entwicklungstätigkeiten wurden auch Upgrade-Projekte auf die Fabasoft eGov-Suite 2012 sowie auf die Fabasoft eGov-Suite 2013 durch die Produktentwicklung aktiv unterstützt.
Mindbreeze
Im Berichtszeitraum wurde das Producer / Consumer Feature weiterentwickelt, sodass es für Kunden mit minimalem Konfigurationsaufwand nutzbar ist. Mittels Producer / Consumer Feature können Indizes in minimalen Intervallen aktualisiert werden.
Mindbreeze InSpire wurde um wesentliche neue Funktionalitäten im Bereich der semantischen Extraktion von Konzepten und Objekten aus strukturierten sowie unstrukturierten Informationen erweitert. Eine effiziente Klassifizierung von Informationen wird dadurch möglich.
Die Mindbreeze InApp VSA (Virtual Search Appliance) wurde im Berichtszeitraum weiterentwickelt und steht nun auf unserer Webseite für Software-Entwicklerinnen und Entwickler in vollem Funktionsumfang zur Verfügung. Mindbreeze InApp ermöglicht es, Softwareherstellern und Systemintegratoren die Mindbreeze Plattform für eigene Suchanwendungen zu nützen. Die VSA kann aufgrund der Unterstützung von offenen Standards (wie dem Open Virtualization Format) auf gängigen Virtualisierungsumgebungen und Cloud Infrastrukturdiensten eingesetzt werden.
Parallel zu den Entwicklungstätigkeiten erfolgt die Umsetzung eines vollständig neuen Webauftritts. Die Produkte Mindbreeze InSpire, Mindbreeze InSite und Mindbreeze InApp können nun ebenfalls online bezogen werden.
Fabasoft app.telemetry
Das app.telemetry-Entwicklungsteam beschäftigte sich im ersten Quartal des Geschäftsjahres 2013/2014 insbesondere mit der Erweiterung und Optimierung der Anwendungsmöglichkeiten von Fabasoft app.telemetry basierend auf Kundenrückmeldungen und Erkenntnissen aus dem Fabasoft SaaS-Cloud Betrieb. Enterprise products
Fabasoft Folio
One focal point of research and development activities in the first quarter of the 2013/2014 fiscal year was in the field of business process management. The new web-based graphical modelling tool for business processes based on the internationally acknowledged standard BPMN 2.0 (Business Process Model and Notation) was further improved. With the newly implemented process folder, business processes can be modelled in a structured way and filed. Moreover it is now possible to link business processes to documents (e.g. guidelines, job instructions, etc.) and other business objects. The process diagrams created in this process folder can be executed in digitised form. Sub-processes and loops are now also supported in the workflow engine in addition to the previous elements. This means that business processes can now be structured in a modular way and it is possible to reuse the individual process modules.
Fabasoft eGov-Suite
In the first quarter of the fiscal year 2013/2014 the edition Fabasoft eGov-Suite Bayern version 2013 has been made available. Furthermore the team worked on the topics of disposal and XDOMEA 2.1 for Fabasoft eGov-Suite DEU. Besides recreating the 4-step disposal schedule, new use cases which support the destroying of old files and old processes were implemented. As a result, business objects which have to be deleted after a certain time can, from Fabasoft eGov-Suite 2012 upwards, be removed conveniently and pursuant to this standard from Fabasoft eGov-Suite. Export to the XDOMEA 2.1 format was implemented as preparation for modern disposal. Complete business object structures can thus already be transferred and exported to the XDOMEA format of version 2.1 from Fabasoft eGov-Suite 2012 upwards.
Parallel to the development activities, product development also actively supported upgrade projects for Fabasoft eGov-Suite 2012 and Fabasoft eGov-Suite 2013.
Mindbreeze
The producer/consumer feature was developed further in the period under review so it is usable for customers with a minimum of configuration work. Using the producer/consumer feature, indexes can be updated at minimal intervals.
Significant new functionalities in the field of the semantic extraction of concepts and objects from structured and unstructured information have been added to Mindbreeze InSpire. This enables the efficient classification of information.
The Mindbreeze InApp VSA (Virtual Search Appliance) was developed further in the period under review and is now available with full functions on our website for software developers. Mindbreeze InApp enables software manufacturers and system integrators to use the Mindbreeze platform for their own search applications. Thanks to the support of open standards (such as Open Virtualization Format), VSA can be used on established virtualisation environments and cloud infrastructure services.
A completely new website was also launched parallel to the development activities. The products Mindbreeze InSpire, Mindbreeze InSite and Mindbreeze InApp can now likewise be acquired online.
Fabasoft app.telemetry
In the first quarter of the fiscal year 2013/2014 the app.telemetry development team concentrated on the expansion and optimisation of the application possibilities of Fabasoft app.telemetry based on customer feedback and findings from Fabasoft Saas Cloud activities. The focus here was on the monitoring and calculation of application speed together with system management and usability.

Fabasoft Folio Cloud
Nutzer von Fabasoft Folio Cloud, die über die Edition "Folio Cloud medio" verfügen, können nun ihre Dokumente und andere Objekte um zusätzliche Felder erweitern, indem sie eigene Formulare definieren. Dazu sind keinerlei Programmierkenntnisse erforderlich. Die Definition dieser Formulare erfolgt einfach per Drag-and-Drop in einem grafischen Formulareditor. Die Formulare können überdies innerhalb eines Teamrooms bzw. innerhalb einer Organisation für die Verwendung freigegeben werden.
Im ersten Geschäftsjahresquartal 2013/2014 wurden auch neue Cloud Apps veröffentlicht, die eine Zusammenarbeit mit Partnern wesentlich erleichtern. So stehen nun Cloud Apps für den Cloud Broker sowie für den Cloud Affiliate Marketing Partner im Cloud App Store und unter http://partners.fabasoft.com zur Verfügung. Ein Cloud Broker hat damit alle seine Kunden-Organisationen im Überblick und kann diese auch bei der Verwaltung unterstützen.
Mindbreeze InSite
Der Cloud-Service Mindbreeze InSite (Website-Suche) wurde im Berichtszeitraum auf die zusätzlichen Lokationen Deutschland und Schweiz ausgedehnt. Das bedeutet, dass die Daten ausschließlich im jeweiligen Land (Österreich, Deutschland oder Schweiz) gespeichert werden/bleiben. Dadurch ergeben sich auch minimale Latenzzeiten und schnellstmögliche Suchergebnisse.
Im Berichtszeitraum wurden zusätzliche Semantik Module umgesetzt, die strukturierte Informationen aus Textinhalten über gängige Standards wie Dublin Core, Open Graph oder Microdata hinaus extrahieren. Mindbreeze InSite erschließt damit den Benutzern neue Filtermöglichkeiten, ohne zusätzlichen Aufwand bei den Editoren zu generieren.
Ausblick
Im Bereich der öffentlichen Auftraggeber ist Fabasoft für eine Reihe von großen Kunden aus Bund, Ländern/Kantonen und Kommunen in Österreich, Deutschland und in der Schweiz tätig. Das Geschäft mit diesen Bestandskunden bildet erfahrungsgemäß einen stabilen Umsatzkern, wobei sich auch hier die Sparvorgaben der öffentlichen Hand zunehmend auswirken.
Um diesem entgegenzuwirken, soll im Wege von Zusatzprojekten und Erweiterungen des Kreises der Anwenderinnen und Anwender die Position von Fabasoft in diesem Markt ausgebaut werden. Diesbezüglich wurden bereits umfangreiche Angebote gelegt und Gespräche geführt. Es ist aber nicht vorhersehbar, ob beziehungsweise in welchem Umfang daraus konkretes Geschäft generiert werden kann.
Neukundengewinnung erfolgt im öffentlichen Sektor nahezu ausschließlich im Wege hochkompetitiver öffentlicher Ausschreibungen mit den damit verbundenen Vorlaufzeiten.
Über den deutschsprachigen Raum hinaus wurde vor allem in Zusammenarbeit mit Partnern begonnen, neue Kunden anzusprechen. Ein wichtiges Argument ist in diesem Zusammenhang die ausgezeichnete Reputation und Bewertung, die speziell die österreichische Verwaltung bei internationalen Rankings hinsichtlich des Umsetzungsgrades von E-Government genießt. Bestandskunden erklären sich auch immer wieder bereit, Interessenten anderer Verwaltungen ihr System zu zeigen und über ihre Erfahrungen mit der Einführung von elektronischer Aktenführung und E-Government im Allgemeinen und mit Fabasoft im Besonderen zu berichten.
Bei den privaten Auftraggebern bildet, analog zu den öffentlichen Auftraggebern, das sich aufbauende Bestandskundengeschäft eine wichtige Säule der Umsatzplanung. Da diese Kunden teilweise auch international tätig sind, besteht auch die Möglichkeit beziehungsweise der Kundenwunsch, Einführungs- und Erweiterungsprojekte auch international mit zu begleiten.
Für die Neukundengewinnung soll die Vertriebsorganisation weiter entwickelt und durch die Umsetzung eines entsprechenden Marketing- und PR-Planes unterstützt werden. Einen wichtigen Bestandteil der geplanten Markterschließung bilden die Zusammenarbeit mit kompetenten Partnern und die Konzentration auf fachliche Lösungsbereiche innerhalb des ECM-Marktes.
Cloud products
Fabasoft Folio Cloud
Users of Fabasoft Folio Cloud who have the Fabasoft "Folio Cloud medio" edition can now add further fields to their documents and other objects by defining their own forms. No knowledge of programming is required. These forms are defined simply by using drag and drop in a graphic form editor. The forms can also be approved for use within a team room or within an organisation.
New cloud apps which make collaborating with partners much easier were also published in the first quarter of the 2013/2014 fiscal year. Cloud apps are now available for both Cloud Brokers and Cloud Affiliate Marketing Partners in the Cloud App Store and at http://partners.fabasoft.com. This means that Cloud Brokers have an overview of all their client organisations and can also support them in administration.
Mindbreeze InSite
The cloud service Mindbreeze InSite (website search) was extended to the additional locations Germany and Switzerland in the period under review. This means that the data is stored/stays exclusively in the respective country (Austria, Germany or Switzerland). This results in minimal latency times and the fastest possible search results.
Additional semantic modules were implemented in the period under review which extract structured information from text content beyond established standards such as Dublin Core, Open Graph or Microdata. Mindbreeze InSite thus provides users with new filter opportunities without any additional work with the editors.
Outlook
In the public sector Fabasoft works for a number of major clients on a federal level and also states/cantons and municipalities in Austria, Germany and Switzerland. Experience shows that business with these existing clients represents a stable core source of revenue, despite cutbacks in the public sector having a greater impact.
To counteract this, the company intends to develop the position of Fabasoft in this market in the form of additional projects and by widening the circle of users. Extensive offers have already been made and meetings held with a view to this. It is not possible to say, however, whether and to what extent concrete business will be generated by these activities.
The acquisition of new customers in the public sector takes place almost solely in the form of highly competitive tenders with equally challenging lead times.
A start has been made in approaching new customers beyond the German-speaking countries, above all in collaboration with partners. A crucial argument in connection with this is the excellent reputation and rating the Austrian administration in particular has in international rankings in terms of eGovernment implementation. Existing clients are always willing to show their system to other administrative offices and talk about on their experiences with the introduction of electronic file management, eGovernment in general and Fabasoft in particular.
Parallel to the public sector, the developing existing client business with private clients represents an important pillar in sales planning. As some of these customers are active on an international scale there is the opportunity and also request from customers to assist them in launching and developing projects abroad, too.
In order to acquire new customers there are plans to further develop the sales organisation and support this through the implementation of an appropriate marketing and PR plan. Collaboration with competent partners and concentration on professional solution areas within the ECM market play a key role in the planned market acquisition activities.
Aus bisherigen Erfahrungen kann festgestellt werden, dass Interessenten zunehmend flexibel in der Frage sind, ob die angestrebte Lösung als Cloud-Anwendung oder über ein klassisches On-Premises-Projekt umgesetzt werden soll. Dies kristallisiert sich oft erst im Zuge des Bieterdialogs unter Abwägung von funktionalen, ökonomischen und zeitlichen Gesichtspunkten heraus. Fabasoft sieht sich in solchen Konstellationen gut positioniert, da das verfügbare Produktportfolio beides leistet und auch hybride Modelle erlaubt. Die Umsatzplanung wird dadurch aber erschwert, da abhängig vom gewählten Modell, ein und dasselbe Projekt eine deutlich unterschiedliche Umsatzstruktur auf der Zeitachse aufweist.
Ausgehend von den in den letzten Quartalen umgesetzten Maßnahmen und den ermutigenden Erfolgen im abgelaufenen Geschäftsjahr geht das Management von einer herausfordernden aber auch chancenreichen Entwicklung in den bevorstehenden Quartalen aus.
Experience so far has shown that potential clients are becoming increasingly flexible as regards whether the solution they are searching for should be realised as a cloud application or a classic on-premises project. This often does not become clear until the tenderer dialogue stage, when functional, economical and time aspects are taken into consideration. Fabasoft considers itself to be well positioned in such constellations as the product portfolio available covers both and also allows hybrid models. It does, however, make sales planning more difficult as a result because, depending on the model selected, one and the same project has a clearly different sales structure on the time axis.
Based on the measures implemented in recent quarters and the encouraging successes in the previous fiscal year, management anticipates a challenging but promising development in the forthcoming quarters.

Anhang zum Konzernzwischenabschluss zum 30. Juni 2013
1) Grundlegende Informationen
Fabasoft ist ein europäischer Softwarehersteller für Enterprise Content Management (ECM), Compliance, Electronic Government und MoReq2-zertifizierter Information Governance sowie ein Anbieter von Cloud Services für die sichere und zuverlässige Zusammenarbeit von Unternehmen, Partnern und Kunden über das Internet. Die Muttergesellschaft ist eine Aktiengesellschaft mit Sitz in der Honauerstraße 4, 4020 Linz, Österreich. Die Aktien der Gesellschaft notieren im Prime Standard der Frankfurter Wertpapierbörse (WKN (D) 922985). Der Berichtszeitraum des Konzernzwischenabschlusses umfasst den Zeitraum vom 1. April bis 30. Juni 2013.
2) Bilanzierungs- und Bewertungsgrundsätze
2.1. Grundlagen der Abschlusserstellung
Der Konzernzwischenabschluss zum 30. Juni 2013 wurde in Übereinstimmung mit dem International Accounting Standard 34 (IAS 34) aufgestellt.
Der Konzernzwischenabschluss wurde nach dem historischen Anschaffungskostenprinzip aufgestellt, mit der Ausnahme von zur Veräußerung verfügbaren finanziellen Vermögenswerten, die mit dem Zeitwert zum Zwischenbilanzstichtag bewertet werden.
Die Aufstellung des Konzernzwischenabschlusses in Übereinstimmung mit den allgemein anerkannten Bilanzierungsund Bewertungsmethoden verlangt die Anwendung von Schätzungen und Annahmen, die die Höhe und den Ausweis der bilanzierten Vermögenswerte und Schulden sowie die offengelegten Eventualvermögenswerte und -verbindlichkeiten am Zwischenbilanzstichtag sowie die bilanzierten Erträge und Aufwendungen während der Berichtsperiode beeinflussen. Obwohl diese Schätzungen nach bestem Wissen auf den laufenden Transaktionen basieren, können die tatsächlichen Werte letztendlich von diesen Schätzungen abweichen.
Bei der Erstellung des Zwischenabschlusses wurden dieselben Bilanzierungs- und Bewertungsmethoden angewendet wie für den letzten vorliegenden Konzernabschluss zum 31. März 2013.
Der Konzernzwischenabschluss ist in tausend Euro (TEUR) aufgestellt, die Angaben im Anhang erfolgen ebenfalls in TEUR.
2.2. Konsolidierung
Die in den Konzernabschluss einbezogenen Zwischenabschlüsse der Tochterunternehmen wurden auf den einheitlichen Konzernzwischenabschlussstichtag 30. Juni 2013 sowie nach IFRS, wie sie in der EU anzuwenden sind, aufgestellt.
2.2.1. Konsolidierungskreis
Zum Zwischenbilanzstichtag 30. Juni 2013 sind neben der Fabasoft AG als Mutterunternehmen folgende Gesellschaften in den Konzernabschluss im Rahmen der Vollkonsolidierung einbezogen:

1) Company details
Fabasoft is a European manufacturer of software for enterprise content management (ECM), compliance, electronic government, MoReq2-certified information governance and a provider of cloud services for safe and reliable collaboration between companies, partners and customers over the internet.
The parent company is a stock corporation located in Honauerstrasse 4, 4020 Linz, Austria.
Company shares have been quoted in Prime Standard at the Frankfurt Stock Exchange (WKN (D) 922985). The reported period for the consolidated interim financial statements is from 1 April to 30 June 2013.
2) Accounting policies
2.1. Basis of preparation
The consolidated interim financial statements dated 30 June 2013 were drawn up in compliance with the International Financial Reporting Standard 34 (IAS 34).
The consolidated interim financial statements were drawn up according to the historical cost principle, with the exception of available-for-sale financial assets which have been evaluated according to their market value on the interim balance sheet date.
The consolidated interim financial statements were drawn up in agreement with generally recognised accounting policies which require the use of estimates and assumptions. These estimates and assumptions influence the amount and return on assets and liabilities shown in the balance sheet, the disclosed contingent assets and liabilities on the interim balance sheet date as well as the income and expenditures shown on the balance sheet for the period under consideration. Although these estimates are calculated to the best knowledge based on current transactions, actual values may deviate from these estimates.
In the process of drawing up these interim financial statements, we have consistently applied the same accounting and valuation methods as for the previous consolidated accounts for 31 March 2013.
The consolidated interim financial statements are prepared in thousands of Euros (EUR tsd), as are entries in the notes.
2.2. Consolidation
The annual financial statements of subsidiaries included in the consolidated financial statements were drawn up Groupwide on 30 June 2013 and in accordance with IFRS, as applicable in the EU.
2.2.1. Consolidation scope
As at the interim balance sheet date, 30 June 2013, the following companies in addition to Fabasoft AG, as the parent company, have been fully consolidated and are included in the consolidated financial statements:

2.2.2. Änderungen im Konsolidierungskreis
Laut Beschluss vom 9. April 2013 wurde die Mindbreeze Software GmbH in Mindbreeze GmbH umbenannt.
Laut Abtretungsvertrag vom 7. Mai 2013 wurden 10% der Geschäftsanteile der Faba5 GmbH, gehalten von Markus Tripp, an die Fabasoft AG abgetreten. Die Fabasoft AG hält somit 100% des Stammkapitals der Faba5 GmbH.
Mit Verschmelzungsvertrag vom 13. Juni 2013 wurden die Fabasoft Medical GmbH und die app.telemetry GmbH rückwirkend zum 31.03.2013 mit der Fabasoft R&D GmbH verschmolzen.
2.2.3. Währungsumrechnung
Die Zwischenabschlüsse in fremder Währung wurden zu den jeweiligen Mittelkursen umgerechnet. Dabei kamen bei den Posten der Bilanz die Kurse zum Zwischenbilanzstichtag, bei den Posten der Gesamtergebnisrechnung die Durchschnittskurse des Berichtszeitraumes zur Anwendung. Differenzen dieser Währungsumrechnungen werden im sonstigen Ergebnis ausgewiesen. Kursdifferenzen aus der Umrechnung von Transaktionen und Bilanzposten in fremden Währungen werden zu den im Transaktionszeitpunkt bzw. Bewertungszeitpunkt gültigen Kursen erfolgswirksam erfasst.

2.2.2. Changes to the scope of consolidation
Mindbreeze Software GmbH was renamed Mindbreeze GmbH in a resolution passed on 9 April 2013.
Further to the contract of assignment of 7 May 2013 10% of the shares of the Faba5 GmbH, held by Markus Tripp, were transferred to Fabasoft AG. Fabasoft AG thus holds 100% of the capital stock of Faba5 GmbH.
In a merger agreement dated 13 June 2013 Fabasoft Medical GmbH and app.telemetry GmbH were merged retrospectively with Fabasoft R&D GmbH on 31 March 2013.
2.2.3. Foreign currency translation
Interim financial statements in foreign currencies have been translated at the average relevant exchange rate. According to this method, the items on the interim balance sheet were translated at the exchange rates valid on the interim balance sheet date, whereas the items on the statement of comprehensive income were translated at the average exchange rate for the reported period. Differences in these currency conversions are recorded in the other result. Exchange difference which may occur when converting transactions and accounting items into foreign currencies are calculated using the valid exchange rate at the time of the transaction or valuation.
3) Erläuterungen zur Bilanz und zur Gesamtergebnisrechnung
3.1. Investitionen
Die Investitionen in Sachanlagen und immaterielle Vermögensgegenstände betreffen im Wesentlichen Hardware und sonstige Büroeinrichtung.
3.2. Eigenkapital
Zum Stichtag 30. Juni 2013 beträgt das Grundkapital der Gesellschaft TEUR 5.000. Es setzt sich aus 5.000.000 Stückaktien (Vorjahr: 5.000.000) zum Nennbetrag von EUR 1,00 je Aktie zusammen.
Die Kapitalrücklage in Höhe von TEUR 9.303 setzt sich im Wesentlichen aus Agio zusammen.
In der ordentlichen Hauptversammlung der Fabasoft AG am 1. Juli 2013 wurden unter anderem folgende Beschlüsse gefasst:
Für das Geschäftsjahr 2012/2013 wird eine Dividende in Höhe von EUR 0,38 pro Aktie ausgeschüttet.
Der Vorstand wird für die Dauer von 30 Monaten ermächtigt, eigene Aktien gemäß den Bestimmungen des § 65 Abs. 1 Z 4 AktG für Zwecke der Ausgabe an Arbeitnehmer, leitende Angestellte und Mitglieder des Vorstandes der Gesellschaft oder eines verbundenen Unternehmens bis zu einem maximalen Anteil von 10% des Grundkapitals der Gesellschaft zu erwerben. Der beim Rückerwerb zulässige Gegenwert darf höchstens 10% über und geringstenfalls 20% unter dem durchschnittlichen Börseschlusskurs im Xetrahandel der Deutschen Börse AG der letzten 5 Börsehandelstage vor der Festlegung des Kaufpreises liegen.
4) Geldflussrechnung
Die Geldflussrechnung wurde nach der indirekten Methode erstellt. Aus ihr ist die Veränderung der liquiden Mittel im Konzern im Laufe des Berichtszeitraumes durch Mittelzuflüsse und -abflüsse ersichtlich.
Innerhalb der Geldflussrechnung wird zwischen Zahlungsströmen aus laufender Geschäftstätigkeit, Investitionstätigkeit und Finanzierungstätigkeit unterschieden.
3) Notes to the balance sheet and the consolidated statement of comprehensive income
3.1. Investments
The purchases of property, plant and equipment and intangible assets mainly concern hardware and other office equipment.
3.2. Equity
As at 30 June 2013, the company's share capital was EUR 5,000 tsd. It is comprised of 5,000,000 individual shares (previous year: 5,000,000) at a nominal value of EUR 1.00 per share.
Capital reserves in the order of EUR 9,303 tsd consist primarily of premiums.
The following resolutions, among others, were made at the Fabasoft AG annual general meeting on 1 July 2013:
A dividend of EUR 0.38 per share shall be paid out for the fiscal year 2012/2013.
The Managing Board is authorised for the period of 30 months to acquire its own shares pursuant to § 65 Section 1 No. 4 of the Austrian Stock Corporation Act for the purpose of issuing them to employees, company executives and members of the Managing Board of the company or an affiliated company and up to a maximum holding of 10% of the total share capital of the company. The equivalent value permissible at repurchase must not exceed 10% above and must not be 20% at the least below the average price at the close of Xetra trading on the Deutsche Börse AG of the last 5 stock exchange trading days prior to the fixing of the purchase price.
4) Cash flow statement
The cash flow statement has been drawn up according to the indirect method. It shows the change in cash and cash equivalents for the Group during the reporting period through the inflow and outflow of funds.
On the cash flow statement, a differentiation is made between payment flows from current business, investment and financing activities.

Der beizulegende Zeitwert der Optionen wurde mittels des Black-Scholes-Bewertungsmodells bestimmt. Die wesentlichen Parameter für das Bewertungsmodell sind der Aktienpreis am Tag der Gewährung, der Ausübungspreis, die Optionslaufzeit und der risikofreie Zinssatz für die jeweilige Laufzeit zum Zeitpunkt der Optionsgewährung.
Im Berichtszeitraum ist ein Personalaufwand für Mitarbeiteroptionen für den Vorstand sowie einen Geschäftsführer in Höhe von TEUR 7 (Vorjahr TEUR 0) berücksichtigt. Die Buchung erfolgte gegen die Kapitalrücklage.

The fair value of the options was calculated using the Black-Scholes valuation model. The key parameters for the valuation model are the share price on the grant date, the exercise price, the option period and the risk-free interest rate for the respective term at the time of the option grant.
Employee benefits expenses for employee options for the Managing Board and a Managing Director amounting to EUR 7 tsd (previous year EUR 0 tsd) have been taken into account in the period under review. These were booked against the capital reserve.

Wir haben den beigefügten verkürzten Konzernzwischenabschluss der Fabasoft AG, Linz, für den Zeitraum vom 1. April bis 30. Juni 2013 prüferisch durchgesehen. Der verkürzte Konzernzwischenabschluss umfasst die Konzernzwischenbilanz zum 30. Juni 2013, die Konzerngesamtergebnisrechnung, die Konzerngeldflussrechnung und die Konzerneigenkapitalveränderungsrechnung für den Zeitraum vom 1. April bis 30. Juni 2013 sowie erläuternde Anhangsangaben.
Die gesetzlichen Vertreter der Gesellschaft sind für die Aufstellung dieses verkürzten Konzernzwischenabschlusses in Übereinstimmung mit den IFRS für Zwischenberichterstattung, wie sie in der EU anzuwenden sind, verantwortlich.
Unsere Verantwortung ist es, auf Grundlage unserer prüferischen Durchsicht eine zusammenfassende Beurteilung über diesen verkürzten Konzernzwischenabschluss abzugeben. Unsere Verantwortlichkeit und Haftung für nachgewiesene Vermögensschäden auf Grund einer fahrlässigen Pflichtverletzung bei der Durchführung unserer Arbeiten wird analog § 275 Abs. 2 UGB (Haftungsregelung bei der Prüfung einer kleinen oder mittelgroßen Gesellschaft) mit EUR 2 Mio. begrenzt. Die mit dem Auftraggeber vereinbarte und hier offengelegte Beschränkung unserer Haftung gilt auch gegenüber jedem Dritten, der im Vertrauen auf unseren Bericht Handlungen setzt oder unterlässt.
Umfang der prüferischen Durchsicht
Wir haben die prüferische Durchsicht unter Beachtung der in Österreich geltenden gesetzlichen Vorschriften und berufsüblichen Grundsätze sowie des International Standard on Review Engagements 2410 "Prüferische Durchsicht des Zwischenabschlusses durch den unabhängigen Abschlussprüfer der Gesellschaft" durchgeführt. Die prüferische Durchsicht eines Zwischenabschlusses umfasst Befragungen, in erster Linie von für das Finanz- und Rechnungswesen verantwortlichen Personen, sowie analytische Beurteilungen und sonstige Erhebungen. Eine prüferische Durchsicht ist von wesentlich geringerem Umfang und umfasst geringere Nachweise als eine Abschlussprüfung und ermöglicht es uns daher nicht, eine mit einer Abschlussprüfung vergleichbare Sicherheit darüber zu erlangen, dass uns alle wesentlichen Sachverhalte bekannt werden. Aus diesem Grund erteilen wir keinen Bestätigungsvermerk.
Zusammenfassende Beurteilung
Auf Grundlage unserer prüferischen Durchsicht sind uns keine Sachverhalte bekannt geworden, die uns zu der Annahme veranlassen, dass der beigefügte verkürzte Konzernzwischenabschluss in allen wesentlichen Belangen nicht in Übereinstimmung mit den IFRS für Zwischenberichterstattung, wie sie in der EU anzuwenden sind, aufgestellt worden ist.

Report on the auditors' review of the Consolidated Interim Financial Statements as at 30 June 2013
Introduction
We have reviewed the accompanying condensed consolidated interim financial statements of Fabasoft AG, Linz, for the three months ended 30 June 2013. The condensed consolidated interim financial statements comprise the consolidated interim balance sheet as at 30 June 2013, the consolidated statement of comprehensive income, the consolidated cash flow statement and the consolidated statement of changes in equity for the period from 1 April to 30 June 2013 and explanatory notes.
The preparation of these condensed consolidated financial statements in accordance with the IFRS for interim reporting, as adopted in the EU, is the responsibility of the statutory representatives of the company.
Our responsibility is to issue a summarised evaluation of these condensed consolidated interim financial statements on the basis of our review. Analogous to § 275 Para. 2 (Regulation of Liability during the Auditing of Small and Medium-Sized Enterprises) of the Austrian Commercial Code, our responsibility and liability for proven damages derived from the gross negligence of our obligations during the completion of our assignment is limited to EUR 2 million. The limitation of our liability agreed with the client and published here also applies to third parties who undertake or refrain from activities on the basis of trust in our report.
Scope of review
We conducted our review in accordance with the applicable Austrian laws and professional principles, plus the International Standard on Review Engagements 2410, "Review of Interim Financial Information Performed by the Independent Auditor of the Entity". A review of interim financial information comprises interrogations, primarily of persons responsible for financial and accounting matters, and applying analytical and other investigative review procedures. A review is substantially less in scope and also provides less evidence than an audit and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.
Overall conclusion
Our review did not reveal any facts that would lead us to assume that the accompanying condensed consolidated interim financial statements are not in compliance in all material respects with the IFRS for interim reporting, as adopted in the European Union.
