The Fabasoft Group's business model is based on the sale of its own software products under the umbrella brand name Fabasoft and the provision of services related to these products. Products and services are sold to both private customers and clients in the public sector.
In the private sector market access is via Fabasoft's own sales and marketing organisation, which positions itself together with sales and implementation partners for potential new customers. Sales activities focus on companies that want to quickly and cost-efficiently implement electronic document management, records management, electronic collaboration – internal and cross-company – and the company-wide finding of information, on the one hand to achieve competitive advantage and on the other hand to fulfil ever increasing compliance requirements. The product families Fabasoft Folio, Fabasoft Mindbreeze and Fabasoft app.telemetry form the core of this business.
Fabasoft sees a particular unique advantage of its product offering in the integrated development environment for the agile and cost-effective creation, quality assurance and operational management of document-centric specialist applications.
Public sector customers are predominantly supported by Fabasoft's own sales companies in Germany, Austria and Switzerland. Market access in these countries mainly takes place using a direct sales approach. The successful participation in public tenders is a key feature of this, especially in the case of business with new clients. Thematically, public sector business primarily centres around case and process management and eGovernment. The Fabasoft sales organisations have their own project organisations. If needed, these companies also take over as general contractor for project implementation and realise additional and follow-up projects. In addition, the company endeavours to establish and develop project partnerships with local providers in new geographies.
Alongside the conventional form of software usage in the customers' data centres (on-premise) Fabasoft also offers new usage models in the form of cloud services. Im ersten Quartal des Geschäftsjahres 2012/2013 (1. April 2012 – 30. Juni 2012) lagen die Umsatzerlöse mit TEUR 5.062 um 7,9% unter dem Vorjahresvergleichswert (TEUR 5.497).
Das Betriebsergebnis (EBIT) sank in den ersten drei Monaten des Geschäftsjahres 2012/2013 von TEUR -152 (Vergleichszeitraum des Vorjahres) auf TEUR -657.
Das EBITDA verringerte sich im Berichtszeitraum auf TEUR -283 (TEUR 185 im Vergleichszeitraum des Vorjahres).
Die Eigenkapitalquote des Unternehmens betrug zum Zwischenbilanzstichtag 55,4% (55,9% zum 30. Juni 2011).
Der Bestand an liquiden Mitteln verringerte sich von TEUR 15.060 zum 30. Juni 2011 auf TEUR 14.741 zum 30. Juni 2012.
Zum Zwischenbilanzstichtag 30. Juni 2012 beschäftigte der Fabasoft Konzern 211 Mitarbeiterinnen und Mitarbeiter (197 Mitarbeiterinnen und Mitarbeiter zum 30. Juni 2011).

In April 2012 the independent platform cloudsider.com carried out a comparison test of 13 international cloud providers. Folio Cloud emerged as the test winner in the business provider category. The test included, for example, order procedure, customer service, safety and contractual terms and conditions. Detailed information on the individual scoring has been published on the website. SuisseID for authentication in Folio Cloud
It has been possible to use SuisseID as a login option for secure authentication in Folio Cloud since April 2012. Personal identity on the internet is checked and verified when logging in with SuisseID.

Am 26. April 2012 fand der ECM-Tag (Enterprise-Content-Management-Tag) in Wien statt. Im Rahmen der Veranstaltung wurde bereits zum dritten Mal der ECM-Award in vier Kategorien verliehen. Eine Jury aus anerkannten und unabhängigen Experten bewertet die eingereichten Projekte und kürt die besten Projekte in den Kategorien Wirtschaftlichkeit, Innovative Umsetzung, ECM-Lösung des Jahres und ECM-Anbieter des Jahres. Papierlose Überdepartementale Prozesse bis in die Bundesratssitzung
Mit der Bundesratssitzung am 9. Mai 2012 wurde ein wichtiger Meilenstein in der Umsetzung der E-Government-Strategie in der Schweiz gesetzt. Diese Sitzung wurde durchgängig auf elektronischer Basis vor- und nachbereitet und so das Papier in vielen Abläufen als führendes Medium durch elektronische Abläufe ersetzt. Das zugrundeliegende System "Überdepartementale Prozesse (ÜDP)" basiert auf der Fabasoft eGov-Suite, die in der Schweizerischen Bundesverwaltung seit Jahren erfolgreich eingesetzt wird.

The EMC (Enterprise Content Management) Day was held in Vienna on 26 April 2012. The ECM Award in four categories was presented at the event for the third time. A jury comprising recognised and independent experts judge the projects entered and award prizes for the best ones in the categories Economic Efficiency, Innovative Implementation, ECM Solution of the Year and ECM Provider of the Year. SPAR and Fabasoft received the ECM Award 2012 in the category "Innovative Implementation", with the jury honouring the successful change to the new document management system Fabasoft Folio at Spar Austria Group.
Paperless interdepartmental processes go as far as Federal Council meeting
An important milestone was reached in the implementation of the eGovernment strategy in Switzerland in the Federal Council meeting on 9 May 2012. Both the session's preparation and follow-up were carried out consistently on an electronic basis, meaning that paper was replaced with electronic processes in many cases. The system "Überdepartementale Prozesse (ÜDP)" (interdepartmental processes), which is based on Fabasoft eGov-Suite and has been used with great success by the Swiss Federal Administration for a number of years.
The objective of the ÜDP project is to make the complex communication structures available electronically in a straightforward way. The ÜDP solution sees itself as a communication platform which integrates the GEVER systems in the Federal Administration for the handling of interdepartmental business.

Fabasoft erhielt am 25. Juni 2012 den Zuschlag vom Umweltbundesamt (UBA) in Deutschland zur Einführung einer IT-gestützten Vorgangsbearbeitung. Zum Einsatz kommt neben der Fabasoft eGov-Suite als Vorgangsbearbeitungssystem auch Fabasoft Mindbreeze Enterprise zur einfachen Suche nach Informationen.
Das Umweltbundesamt ist die zentrale Umweltbehörde des Bundes mit rund 1.500 Mitarbeiterinnen und Mitarbeitern. Neben der rein wissenschaftlichen Arbeit sind der Vollzug der Umweltgesetze und die Information der Bürgerinnen und Bürger in Fragen des Umweltschutzes weitere Schwerpunkte in der täglichen Arbeit. Das Umweltbundesamt ist Partner und Kontaktstelle Deutschlands zu zahlreichen internationalen Einrichtungen, wie etwa der Weltgesundheitsorganisation (WHO) und der Europäischen Umweltagentur (EEA).
Migration eLBA in Mandantensystem DLZ-IT erfolgreich abgeschlossen
Das Luftfahrt-Bundesamt (LBA) arbeitet als Behörde im Geschäftsbereich des Bundesministeriums für Verkehr, Bau und Stadtentwicklung (BMVBS) bereits seit rund acht Jahren mit der Fabasoft eGov-Suite. Entsprechend der Strategie des Bundesministeriums für Verkehr, Bau und Stadtentwicklung alle Dokumentenmanagement- und Vorgangsbearbeitungssysteme im Geschäftsbereich in das zentrale Mandantensystem im DLZ-IT in Ilmenau zu überführen, wurde das Migrationsprojekt im LBA Ende 2011 gestartet und im Juni 2012 erfolgreich beendet.
Abtretung der Geschäftsanteile der Fabasoft Medical GmbH an die Fabasoft AG
Laut Optionsvertrag vom 30. Juni 2011 wurden 20% der Geschäftsanteile der Fabasoft Medical GmbH, gehalten von Dieter Scharnagl und Thomas Hauser, an die Fabasoft AG abgetreten. Die Fabasoft AG hält somit 100% des Stammkapitals der Fabasoft Medical GmbH.
Produkte, Forschung und Entwicklung
Im ersten Quartal des Geschäftsjahres 2012/2013 lag der Schwerpunkt der Forschungs- und Entwicklungstätigkeit im Fabasoft Konzern auf der Weiterentwicklung des bestehenden Produkt-Portfolios für private Unternehmen und die öffentliche Verwaltung.
Fabasoft Folio Cloud
Dieses Quartal stand primär im Zeichen der Entwicklung der Folio Cloud Lokationen. Folio Cloud setzt sich nun aus mehreren Folio Cloud Lokationen zusammen. Jede Cloud Lokation ist ein für sich autarkes System, das in einem bestimmten Land oder bei einem bestimmten Kunden von Fabasoft betrieben wird. Die Folio Cloud Lokationen erlauben Nutzerinnen und Nutzern, den Speicherort der Daten selbst festzulegen. In der Arbeitsumgebung wählt die Nutzerin oder der Nutzer die Lokation aus und bestimmt dadurch, wo die Daten (wie Teamrooms, Ordner, Dokumente und sonstige Anwendungsdaten) gespeichert werden. In diesem Quartal wurde die Infrastruktur Folio Cloud Lokation Deutschland vorbereitet.
Darüber hinaus haben Nutzerinnen und Nutzer nun auch die Möglichkeit, ihren Facebook-Account für die Authentisierung zu verwenden. Bei der Registrierung für Fabasoft Folio Cloud kann sofort eine Verknüpfung mit einem Facebook-Account hergestellt werden.
Des Weiteren wurde die Version 2.0 der mobilen App für Folio Cloud für die Plattformen iOS und Android bereitgestellt. Diese Version verfügt über eine vollkommen neue Benutzerführung, erlaubt das Hochladen von Bildern oder Videos bzw. sonstiger Dateien aus anderen Applikationen sowie das Abspielen von Videos direkt in der App – auch im Offline-Modus. Durch einen Klick können alle offline verfügbaren Teamrooms aktualisiert werden, auch das Erzeugen von Teamrooms und das Versenden von Einladungen sind nun möglich.
Fabasoft Folio
Ein Schwerpunkt der Forschung und Entwicklung lag in der Weiterentwicklung der Anwendungsmöglichkeiten für die organisationsübergreifende Zusammenarbeit in Teamrooms. Mit der Möglichkeit, Teamrooms aus der internen Fabasoft Folio Installation nach Folio Cloud zu übertragen ist es einfach, externe Partner in Projekte einzubinden. Diese "hybriden Teamrooms" können nach abgeschlossener Zusammenarbeit wieder in die interne Fabasoft Folio Installation zurückgespeichert und in Folio Cloud gelöscht werden.
Order from Federal Environment Agency
On 25 June 2012 Fabasoft was awarded a contract by the Federal Environment Agency in Germany for the introduction of IT-supported workflow. Besides Fabasoft eGov-Suite as the workflow system the solution will also feature Fabasoft Mindbreeze Enterprise to simplify information search.
The Federal Environment Agency is Germany's central environment authority with around 1,500 members of staff. In addition to purely academic work, daily business also focuses on the enforcement of environmental legislation and informing citizens about environment protection issues. The Federal Environment Agency is a partner of and contact point in Germany for numerous international institutions such as the World Health Organisation (WHO) and the European Environment Agency (EEA).
eLBA migration in DLZ-IT client system successfully completed
The German Federal Aviation Office (Luftfahrt-Bundesamt – LBA) is an authority that has been working with Fabasoft eGov-Suite for around eight years in the business field of the Federal Ministry of Transport, Building and Urban Development. In accordance with the strategy of the Federal Ministry of Transport, Building and Urban Development to transfer all document and workflow management systems in the business area to the central client system at the DLZ-IT (IT service centre) in Ilmenau, the LBA migration project was launched at the end of 2011 and successfully completed in June 2012.
Transfer of shares of company Fabasoft Medical GmbH to Fabasoft AG
Further to the option contract of 30 June 2011 20% of the shares of the company Fabasoft Medical GmbH, held by Dieter Scharnagl and Thomas Hauser, were transferred to Fabasoft AG. Fabasoft AG thus holds 100% of the capital stock of Fabasoft Medical GmbH.
Products, Research and Development
In the first quarter of the fiscal year 2012/2013 research and development activities of the Fabasoft Group focused on the continuing development of the existing product portfolio for private businesses and public administration.
Fabasoft Folio Cloud
This quarter was characterised primarily by the development of the Folio Cloud locations. Folio Cloud now comprises several Folio Cloud locations. Each cloud location is a self-sufficient system in its own right which is operated by Fabasoft in a particular country or at a particular client. Folio Cloud locations allow users themselves to determine the place where their data are stored. The user selects the location in the user environment and thus specifies where the data (such as team rooms, folders, documents and other application data) are stored. In this quarter the infrastructure for Folio Cloud location in Germany was prepared.
In addition to this users now also have the possibility of using their Facebook account for authentication. When registering for Folio Cloud a link with a Facebook account can be established immediately.
Furthermore, version 2.0 of the mobile app for Folio Cloud was also provided for the iOS and Android platforms. This version features completely new user guidance and enables you to upload photos and videos or other data from other applications. You can also play videos direct using the app - even in offline mode. All team rooms which are available offline can be updated with a click and you can now also create team rooms and send invitations.
Fabasoft Folio
One focal point of research and development activities was on the continued development of application opportunities for cross-organisational collaboration in team rooms. With the possibility of transferring team rooms from the internal Fabasoft Folio installation to Folio Cloud it is easy to involve external partners in projects. These "hybrid team rooms" can then be stored back in the internal Fabasoft Folio installation once the collaboration is complete and deleted in Folio Cloud.
Im Bereich User Interface wurde zum Thema Accessibility die durchgängige Tastaturbedienung und Auszeichnung mit WAI-ARIA-Tags umfassend verbessert. Typische Anwendungsfälle wie das Kopieren von Werten in der Spaltenansicht wurden weiter verbessert und auf neue Typen ausgedehnt (Währungen).
Im Bereich der Backend-Services wurde die Unterstützung für große Inhalte (>2GB) umgesetzt und die durchgängige Verwendung für große Inhalte verbessert (inkrementeller Dateiupload, Fortschrittsbalken, Abbruchmöglichkeit im Client). Für die programmtechnische Nutzung umfangreicher Inhalte wurden Streaming-APIs umgesetzt, die unter anderem für die Generierung von Vorschaubildern bei Videos genützt werden.
Fabasoft eGov-Suite
Im ersten Quartal des Geschäftsjahres 2012/2013 lag der Fokus auf der Entwicklung der Fabasoft eGov-Suite 2012 Edition CHE (Schweizer Version der Fabasoft eGov-Suite). Der Schwerpunkt innerhalb der Edition CHE waren Umsetzungen anhand des neuen Systemkonzepts V1.01 des Programms GEVER, die in enger Zusammenarbeit mit dem Change Board Bund und den Bestandskunden erfolgt sind und geprüft wurden. Parallel zu den Entwicklungstätigkeiten wurden auch Upgradeprojekte auf die Fabasoft eGov-Suite 2012 durch die Produktentwicklung gezielt unterstützt.
Fabasoft Mindbreeze
beschäftigte sich im ersten Quartal mit den Themen Sammelkorb, Data Integration Connector, persönliche Suchreiter, personalisierte Ergebnisse und der nahtlosen Zusammenführung von Enterprise und Cloud Suchergebnissen. Ab der 2012 Summer Release können nun Dokumente und Daten aus unterschiedlichsten Datenquellen mittels Sammelkorb in beispielsweise eine Dokumentenmappe übermittelt und abgelegt werden. Die Unterlagen sind als Link sofort und nachvollziehbar versandbereit. Mit dem Data Integration Connector können nun mehr als 400 unterschiedliche Datenquellen an Mindbreeze angebunden werden.
Im Rahmen der facettierten Suche können Anwenderinnen und Anwender nun selbst in der Benutzeroberfläche "personalisierte Suchreiter" erstellen und Suchmuster speichern. Die Enterprise und Cloud-Versionen wurden noch enger verschmolzen. Suchergebnisse aus beiden Bereichen werden zusammengeführt und nahtlos miteinander angezeigt.
Fabasoft app.ducx
Hauptziel war die Verbesserung der User Experience. Voraussetzung für eine optimale User-Experience im Umgang mit Software ist eine hohe Qualität. Diese kann durch Kennzahlen gemessen werden. Bei Sourcecode ist diese Kennzahl die "Code Coverage", also die Menge von Codezeilen, die durch Tests überprüft werden. Ein großer Schwerpunkt von Fabasoft app.ducx 2012 Summer Release war daher die Ausweitung der "Code Coverage" auf alle Teile der in app.ducx enthaltenen, domänenspezifischen Sprachen. Somit kann nachvollzogen werden, welche Codeteile durch Tests tatsächlich abgedeckt werden.
Ein weiterer Schwerpunkt war die Einführung des "Trace-Mode" während des Debuggings. Teile einer Anwendung laufen auf einem Server, im Falle von Cloud App Entwicklung remote in einem Fabasoft Rechenzentrum. Damit Entwickler komplexe Codeteile einfach lokal analysieren, also "debuggen", können, wurde die Debugging-Konsole mit dem Tracer, der Informationen am Server liefert, kombiniert. Somit stehen den Entwicklern sämtliche zur Analyse notwendigen Informationen lokal zur Verfügung. Im Trace-Mode wird mit jedem Debugging-Schritt ausgewertet, welche Werte in den einzelnen Code-Teilen relevant sind. Entwickler erhalten während des Debuggens detaillierte, hilfreiche Informationen über den Zustand am Server.
Fabasoft app.test
Ziel von Fabasoft app.test ist es nachhaltige Qualität für Business Anwendungen mit wenig Aufwand zu erreichen. Um die nahtlose Integration von Qualitätssicherung und der Anwendungsentwicklung mit Fabasoft app.ducx zu verstärken, steht nun auch Fabasoft app.test premium als Eclipse Plug-in zur Verfügung.
Ein wichtiger Punkt der Fabasoft app.test 2012 Summer Release war der Ausbau der Plattformunabhängigkeit durch die Unterstützung weiterer Webbrowserversionen, sowohl in 32 als auch in 64 Bit. Fabasoft app.test unterstützt mit dieser Release auch die Entwicklungsumgebung Eclipse in der Version 3.7.2.
In the field of user interface and the issue of accessibility, universal keyboard operation and assigning WAI ARIA tags were extensively improved. Typical application cases such as the copying of values in the column view were improved and new types (currencies) added.
With regard to backend services the support for large content (>2GB) has been implemented and universal use for large content has been improved (incremental file upload, progress bar, cancel option in client). Streaming APIs were implemented for the programming of large content which are used to generate thumbnails for videos (among other things).
Fabasoft eGov-Suite
In the first quarter of the fiscal year 2012/2013 development work concentrated on Fabasoft eGov-Suite 2012 Edition CHE (the Swiss version of Fabasoft eGov-Suite). The focus within the CHE Edition was on implementations on the basis of the new system concept V1.01 of the GEVER program which were made and tested in close collaboration with the Federal Change Board and existing clients. Parallel to development activities the product development department also targeted and supported upgrade projects for Fabasoft eGov-Suite 2012.
Fabasoft Mindbreeze
concentrated in the first quarter on the basket, data integration connector, personal search tabs, personalised results and the seamless combination of enterprise and cloud search results. As of the 2012 Summer Release documents and data from a wide variety of data sources can now be transferred with a basket to a document folder and stored. The documents are ready for sending immediately as a link and traceable. With the data integration connection more than 400 different data sources can now be connected to Mindbreeze.
With the faceted search users can now create "personalised search tabs" themselves in the user interface and save search forms. The enterprise and cloud versions have been merged even more intensively. Search results from both areas were drawn together and displayed seamlessly with each other.
Fabasoft app.ducx
Here the main goal was the improvement of user experience. Optimum user experience when working with software demands high quality. This can be measured in figures. With source code this indicator is referred to as "code coverage", i.e. the number of lines of code tested. For this reason, one of the main focal points of Fabasoft app.ducx 2012 Summer Release was the extension of "code coverage" to all parts of the domain-specific languages contained in app.ducx. This means that you can now trace which code parts have really been covered in tests.
Another focal point was the introduction of "trace mode" during debugging. Parts of an application run on a server – a remote one in a Fabasoft data centre in the case of cloud app development. To enable developers to analyse complex code sections locally (i.e. "debugging") the debugging console was combined with the tracer, which sends information to the server. This means that the developers have all the information they need for analysis purposes at their disposal and locally. This way, developers receive detailed, helpful information about the status of the server during the debugging. This way, developers receive all information on the status at the server while debugging.
Fabasoft app.test
The goal of Fabasoft app.test is to achieve sustainable quality for business applications in a convenient way. In order to strengthen the seamless integration of quality assurance and the application department with Fabasoft app.ducx, Fabasoft app.test premium is now also available as an Eclipse plug-in.
One important feature of Fabasoft app.test 2012 Summer Release was the expansion of platform independence through the support of additional web browsers, both in 32 and 64 bit. With this release Fabasoft app.test also supports the Eclipse development environment in version 3.7.2.
Fabasoft app.telemetry
Das app.telemetry-Entwicklungsteam beschäftigte sich im ersten Quartal mit der Erweiterung der Anwendungsmöglichkeiten von Fabasoft app.telemetry in der On-premises-Variante. Ab der 2012 Summer Release können in dieser Variante nun auch Java-Anwendungen, welche nicht unter Microsoft Windows oder CentOS laufen, in die Softwaretelemetrie-Überwachung einbezogen werden. Der app.telemetry-Agent muss dafür nicht mehr direkt in der Umgebung, in der die Java-VM betrieben wird, installiert werden. Vielmehr werden die Softwaretelemetrie-Daten an einen über TCP/IP erreichbaren remote Agent übertragen.

Ein Schwerpunkt der Forschung und Entwicklung lag in der Weiterentwicklung der Web-Editoren, die ein direktes Bearbeiten auf der aktuellen Seite im Browser ermöglichen. Dies betrifft den HTML-, Formular-, Mindbreeze Information Pairing- und Social-Editor. Zusätzlich wurde die Stabilität der Software verbessert. Mit der St. Galler Business School wurden neue kundenbezogene Anforderungen definiert und diese für eine zukünftige Zusammenarbeit in Form eines Internet Portals implementiert.
Fabasoft app.telemetry
The app.telemetry development team concentrated on the expansion of the application possibilities of Fabasoft app. telemetry in the on-premises version in the first quarter. As of the 2012 Summer Release Java applications which do not run under Microsoft Windows or CentOS can now also be included in the software telemetry monitoring in this version. For this, the app.telemetry agent no longer has to be installed direct in the environment in which the Java VM is run. Instead the software telemetry data are transferred to a remote agent, which is reachable via TCP/IP.

One focal point of research and development activities was on the continued development of web editors which enable direct editing on the current page of the browser. This applies to HTML, form, Mindbreeze information pairing and social editor, and software stability was also improved. New customer-oriented requirements were defined together with St. Galler Business School and implemented for future collaboration in the form of an internet portal.
Ausblick
Im Bereich der öffentlichen Auftraggeber betreut Fabasoft eine Reihe von Bestandskunden im europäischen Raum. Dieses Geschäft bildet erfahrungsgemäß einen stabilen Umsatzkern, wobei sich auch hier die Sparvorgaben der öffentlichen Hand zunehmend auswirken. Die nach wie vor instabile Wirtschaftslage in Europa verbunden mit deutlichen Budgeteinschränkungen im öffentlichen Sektor lässt Entscheidungsträger mit Zurückhaltung reagieren und führt vielfach zu Verschiebungen und Einschränkungen von geplanten Projekten. Allgemein unterliegt das Geschäft mit den öffentlichen Auftraggebern deutlichen Schwankungen zwischen den Geschäftsjahresquartalen.
Neukundengewinnung erfolgt im Bereich der öffentlichen Auftraggeber nahezu ausschließlich über hochkompetitive öffentliche Ausschreibungen mit den damit verbundenen Vorlaufzeiten. Fabasoft positioniert sich hier im Wettbewerb speziell über ausgezeichnete Referenzen, kundennahe Produktinnovationen und erfahrene Umsetzungsteams. Im Feld der Bestandskunden soll über Erweiterung des Kreises der Anwenderinnen und Anwender sowie über Zusatzprojekte Geschäft generiert werden.
Auch im Bereich der privaten Auftraggeber beeinflussen die gesamtwirtschaftlichen Entwicklungen sowie die Entwicklungen ihrer Zielgruppen und Zielmärkte die Investitionsfreudigkeit. Eine anhaltende Zurückhaltung bei Investitionen aufgrund der unsicheren Lage im EU-Raum kann nicht ausgeschlossen werden. Es werden verstärkt Anstrengungen unternommen neue Nutzungsmodelle am Markt zu etablieren und die Marktteilnehmer für die Vorteile der Fabasoft-Lösungen zu sensibilisieren. Beispielsweise bietet Fabasoft nunmehr die Speicherung der Cloud-Daten nach Geografien. Die Erhöhung der Bekanntheit soll über verstärkte Marketing- und PR-Aktivitäten geschaffen werden.
Outlook
In the public client sector, Fabasoft has placed its know-how at the disposal of a number of existing European clients. Experience shows that this business represents a stable core source of revenue, despite cutbacks in the public sector having increasingly effects. Ongoing economic instability in Europe combined with significant cutbacks in the public sector mean that decision-makers act with restraint, in many cases resulting in postponement and restriction of planned projects. Overall business with customers in the public sector is subject to significant fluctuations from one quarter of the fiscal year to the next.
The acquisition of new customers in the public sector takes place almost solely in the form of highly competitive tenders with equally challenging lead times. In the face of competition Fabasoft positioned itself especially via excellent references, client-focussed product innovations and experienced implementation teams. The intention is to generate business with existing customers through additional projects and by widening the circle of users.
In the private sector the willingness to invest is also influenced by overall economic developments as well as the development of their own target groups and target markets. Consequently, a continued climate of caution with regard to investment cannot be ruled out because of the economic instability in the EU. Fabasoft will intensify efforts to establish new use models and to increase awareness of Fabasofts' software solutions benefits. For example, from now on Fabasoft offers cloud data storage based on geographies. Marketing and PR activities will be intensified in order to heightening the level of awareness.

Anhang zum Konzernzwischenabschluss zum 30. Juni 2012
1) Grundlegende Informationen
Fabasoft ist ein europäischer Softwarehersteller für Enterprise Content Management (ECM), Compliance, Electronic Government und MoReq2-zertifizierter Information Governance sowie ein Anbieter von Cloud Services für die sichere und zuverlässige Zusammenarbeit von Unternehmen, Partnern und Kunden über das Internet. Die Muttergesellschaft ist eine Aktiengesellschaft mit Sitz in der Honauerstraße 4, 4020 Linz, Österreich. Die Aktien der Gesellschaft notieren im Prime Standard der Frankfurter Wertpapierbörse (WKN (D) 922985). Der Berichtszeitraum des Konzernzwischenabschlusses umfasst den Zeitraum vom 1. April bis 30. Juni 2012.
2) Bilanzierungs- und Bewertungsgrundsätze
2.1. Grundlagen der Abschlusserstellung
Der Konzernzwischenabschluss zum 30. Juni 2012 wurde in Übereinstimmung mit dem International Accounting Standard 34 (IAS 34) aufgestellt.
Der Konzernzwischenabschluss wurde nach dem historischen Anschaffungskostenprinzip aufgestellt, mit der Ausnahme von zur Veräußerung verfügbaren finanziellen Vermögenswerten, die mit dem Zeitwert zum Zwischenbilanzstichtag bewertet werden.
Die Aufstellung des Konzernzwischenabschlusses in Übereinstimmung mit den allgemein anerkannten Bilanzierungsund Bewertungsmethoden verlangt die Anwendung von Schätzungen und Annahmen, die die Höhe und den Ausweis der bilanzierten Vermögenswerte und Schulden sowie die offengelegten Eventualvermögenswerte und -verbindlichkeiten am Zwischenbilanzstichtag sowie die bilanzierten Erträge und Aufwendungen während der Berichtsperiode beeinflussen. Obwohl diese Schätzungen nach bestem Wissen auf den laufenden Transaktionen basieren, können die tatsächlichen Werte letztendlich von diesen Schätzungen abweichen.
Bei der Erstellung des Zwischenabschlusses wurden dieselben Bilanzierungs- und Bewertungsmethoden angewendet wie für den letzten vorliegenden Konzernabschluss zum 31. März 2012.
Der Konzernzwischenabschluss ist in tausend Euro (TEUR) aufgestellt, die Angaben im Anhang erfolgen ebenfalls in TEUR.
2.2. Konsolidierung
Die in den Konzernabschluss einbezogenen Zwischenabschlüsse der Tochterunternehmen wurden auf den einheitlichen Konzernzwischenabschlussstichtag 30. Juni 2012 sowie nach IFRS, wie sie in der EU anzuwenden sind, aufgestellt.
2.2.1. Konsolidierungskreis
Zum Zwischenbilanzstichtag 30. Juni 2012 sind neben der Fabasoft AG als Mutterunternehmen folgende Gesellschaften in den Konzernabschluss im Rahmen der Vollkonsolidierung einbezogen:

1) Company details
Fabasoft is a European manufacturer of software for enterprise content management (ECM), compliance, electronic government, MoReq2-certified information governance and a provider of cloud services for safe and reliable collaboration between companies, partners and customers over the internet.
The parent company is a stock corporation located in Honauerstrasse 4, 4020 Linz, Austria.
Company shares have been quoted in Prime Standard at the Frankfurt Stock Exchange (WKN (D) 922985). The reported period for the consolidated interim financial statements is from 1 April to 30 June 2012.
2) Accounting policies
2.1. Basis of preparation
The consolidated interim financial statements dated 30 June 2012 were drawn up in compliance with the International Financial Reporting Standard 34 (IAS 34).
The consolidated interim financial statements were drawn up according to the historical cost principle, with the exception of available-for-sale financial assets which have been evaluated according to their market value on the interim balance sheet date.
The consolidated interim financial statements were drawn up in agreement with generally recognised accounting policies which require the use of estimates and assumptions. These estimates and assumptions influence the amount and return on assets and liabilities shown in the balance sheet, the disclosed contingent assets and liabilities on the interim balance sheet date as well as the income and expenditures shown on the balance sheet for the period under consideration. Although these estimates are calculated to the best knowledge based on current transactions, actual values may deviate from these estimates.
In the process of drawing up these interim financial statements, we have consistently applied the same accounting and valuation methods as for the previous consolidated accounts for 31 March 2012.
The consolidated interim financial statements are prepared in thousands of Euros (EUR tsd), as are entries in the notes.
2.2. Consolidation
The annual financial statements of subsidiaries included in the consolidated financial statements were drawn up Groupwide on 30 June 2012 and in accordance with IFRS, as applicable in the EU.

2.2.2. Änderungen im Konsolidierungskreis
Laut Optionsvertrag vom 30. Juni 2011 wurden 20% der Geschäftsanteile der Fabasoft Medical GmbH, gehalten von Dieter Scharnagl und Thomas Hauser, an die Fabasoft AG abgetreten. Die Fabasoft AG hält somit 100% des Stammkapitals der Fabasoft Medical GmbH.
2.2.3. Währungsumrechnung
Die Zwischenabschlüsse in fremder Währung wurden zu den jeweiligen Mittelkursen umgerechnet. Dabei kamen bei den Posten der Bilanz die Kurse zum Zwischenbilanzstichtag, bei den Posten der Gesamtergebnisrechnung die Durchschnittskurse des Berichtszeitraumes zur Anwendung. Differenzen dieser Währungsumrechnungen werden im sonstigen Ergebnis ausgewiesen. Kursdifferenzen aus der Umrechnung von Transaktionen und Bilanzposten in fremden Währungen werden zu den im Transaktionszeitpunkt bzw. Bewertungszeitpunkt gültigen Kursen erfolgswirksam erfasst.

2.2.2. Changes to the scope of consolidation
Further to the option contract of 30 June 2011 20% of the shares of the company Fabasoft Medical GmbH, held by Dieter Scharnagl and Thomas Hauser, were transferred to Fabasoft AG. Fabasoft AG thus holds 100% of the capital stock of Fabasoft Medical GmbH.
2.2.3. Foreign currency translation
Interim financial statements in foreign currencies have been translated at the average relevant exchange rate. According to this method, the items on the interim balance sheet were translated at the exchange rates valid on the interim balance sheet date, whereas the items on the statement of comprehensive income were translated at the average exchange rate for the reported period. Differences in these currency conversions are recorded in the other result. Exchange difference which may occur when converting transactions and accounting items into foreign currencies are calculated using the valid exchange rate at the time of the transaction or valuation.
3) Erläuterungen zur Bilanz und zur Gesamtergebnisrechnung
3.1. Investitionen
Die Investitionen in Sachanlagen und immaterielle Vermögensgegenstände betreffen im Wesentlichen Hardware und sonstige Büroeinrichtung.
3.2. Eigenkapital
Zum Stichtag 30. Juni 2012 beträgt das Grundkapital der Gesellschaft TEUR 5.000. Es setzt sich aus 5.000.000 Stückaktien (Vorjahr: 5.000.000) zum Nennbetrag von EUR 1,00 je Aktie zusammen.
Die Kapitalrücklage in Höhe von TEUR 9.296 setzt sich im Wesentlichen aus Agio zusammen.
In der ordentlichen Hauptversammlung der Fabasoft AG am 3. Juli 2012 wurden unter anderem folgende Beschlüsse gefasst:
Für das Geschäftsjahr 2011/2012 wird eine Dividende in Höhe von EUR 0,15 pro Aktie ausgeschüttet.
Der Vorstand wird für die Dauer von 30 Monaten ermächtigt, eigene Aktien gemäß den Bestimmungen des § 65 Abs. 1 Z 4 AktG für Zwecke der Ausgabe an Arbeitnehmer, leitende Angestellte und Mitglieder des Vorstandes der Gesellschaft oder eines verbundenen Unternehmens bis zu einem maximalen Anteil von 10% des Grundkapitals der Gesellschaft zu erwerben. Der beim Rückerwerb zulässige Gegenwert darf höchstens 10% über und geringstenfalls 20% unter dem durchschnittlichen Börseschlusskurs im Xetrahandel der Deutschen Börse AG der letzten 5 Börsehandelstage vor der Festlegung des Kaufpreises liegen.
4) Geldflussrechnung
Die Geldflussrechnung wurde nach der indirekten Methode erstellt. Aus ihr ist die Veränderung der liquiden Mittel im Konzern im Laufe des Berichtszeitraumes durch Mittelzuflüsse und -abflüsse ersichtlich.
Innerhalb der Geldflussrechnung wird zwischen Zahlungsströmen aus laufender Geschäftstätigkeit, Investitionstätigkeit und Finanzierungstätigkeit unterschieden.
3) Notes to the balance sheet and the consolidated statement of comprehensive income
3.1. Investments
The purchases of property, plant and equipment and intangible assets mainly concern hardware and other office equipment.
3.2. Equity
As at 30 June 2012, the company's share capital was EUR 5,000 tsd. It is comprised of 5,000,000 individual shares (previous year: 5,000,000) at a nominal value of EUR 1.00 per share.
Capital reserves in the order of EUR 9,296 tsd consist primarily of premiums.
The following resolutions, among others, were made at the Fabasoft AG annual general meeting on 3 July 2012:
A dividend of EUR 0.15 per share shall be paid out for the fiscal year 2011/2012.
The Managing Board is authorised for the period of 30 months to acquire its own shares pursuant to § 65 Section 1 No. 4 of the Austrian Stock Corporation Act for the purpose of issuing them to employees, company executives and members of the Managing Board of the company or an affiliated company and up to a maximum holding of 10% of the total share capital of the company. The equivalent value permissible at repurchase must not exceed 10% above and must not be 20% at the least below the average price at the close of Xetra trading on the Deutsche Börse AG of the last 5 stock exchange trading days prior to the fixing of the purchase price.
4) Cash flow statement
The cash flow statement has been drawn up according to the indirect method. It shows the change in cash and cash equivalents for the Group during the reporting period through the inflow and outflow of funds.
On the cash flow statement, a differentiation is made between payment flows from current business, investment and financing activities.

The fair value of the options was calculated using the Black-Scholes valuation model. The key parameters for the valuation model are the share price on the grant date, the exercise price, the option period and the risk-free interest rate for the respective term at the time of the option grant.

Bericht über die prüferische Durchsicht des verkürzten Konzernzwischenabschlusses zum 30. Juni 2012
Einleitung
Wir haben den beigefügten verkürzten Konzernzwischenabschluss der Fabasoft AG, Linz, für den Zeitraum vom 1. April bis 30. Juni 2012 prüferisch durchgesehen. Der verkürzte Konzernzwischenabschluss umfasst die Konzernzwischenbilanz zum 30. Juni 2012, die Konzerngesamtergebnisrechnung, die Konzerngeldflussrechnung und die Konzerneigenkapitalveränderungsrechnung für den Zeitraum vom 1. April bis 30. Juni 2012 sowie erläuternde Anhangsangaben.
Die gesetzlichen Vertreter der Gesellschaft sind für die Aufstellung dieses verkürzten Konzernzwischenabschlusses in Übereinstimmung mit den IFRS für Zwischenberichterstattung, wie sie in der EU anzuwenden sind, verantwortlich.
Unsere Verantwortung ist es, auf Grundlage unserer prüferischen Durchsicht eine zusammenfassende Beurteilung über diesen verkürzten Konzernzwischenabschluss abzugeben. Unsere Verantwortlichkeit und Haftung für nachgewiesene Vermögensschäden auf Grund einer fahrlässigen Pflichtverletzung bei der Durchführung unserer Arbeiten wird analog § 275 Abs. 2 UGB (Haftungsregelung bei der Prüfung einer kleinen oder mittelgroßen Gesellschaft) mit EUR 2 Mio. begrenzt. Die mit dem Auftraggeber vereinbarte und hier offengelegte Beschränkung unserer Haftung gilt auch gegenüber jedem Dritten, der im Vertrauen auf unseren Bericht Handlungen setzt oder unterlässt.
Umfang der prüferischen Durchsicht
Wir haben die prüferische Durchsicht unter Beachtung der in Österreich geltenden gesetzlichen Vorschriften und berufsüblichen Grundsätze sowie des International Standard on Review Engagements 2410 "Prüferische Durchsicht des Zwischenabschlusses durch den unabhängigen Abschlussprüfer der Gesellschaft" durchgeführt. Die prüferische Durchsicht eines Zwischenabschlusses umfasst Befragungen, in erster Linie von für das Finanz- und Rechnungswesen verantwortlichen Personen, sowie analytische Beurteilungen und sonstige Erhebungen. Eine prüferische Durchsicht ist von wesentlich geringerem Umfang und umfasst geringere Nachweise als eine Abschlussprüfung und ermöglicht es uns daher nicht, eine mit einer Abschlussprüfung vergleichbare Sicherheit darüber zu erlangen, dass uns alle wesentlichen Sachverhalte bekannt werden. Aus diesem Grund erteilen wir keinen Bestätigungsvermerk.
Zusammenfassende Beurteilung
Auf Grundlage unserer prüferischen Durchsicht sind uns keine Sachverhalte bekannt geworden, die uns zu der Annahme veranlassen, dass der beigefügte verkürzte Konzernzwischenabschluss in allen wesentlichen Belangen nicht in Übereinstimmung mit den IFRS für Zwischenberichterstattung, wie sie in der EU anzuwenden sind, aufgestellt worden ist.

Report on the auditors' review of the Consolidated Interim Financial Statements as at 30 June 2012
Introduction
We have reviewed the accompanying condensed consolidated interim financial statements of Fabasoft AG, Linz, for the three months ended 30 June 2012. The condensed consolidated interim financial statements comprise the consolidated interim balance sheet as at 30 June 2012, the consolidated statement of comprehensive income, the consolidated cash flow statement and the consolidated statement of changes in equity for the period from 1 April to 30 June 2012 and explanatory notes.
The preparation of these condensed consolidated financial statements in accordance with the IFRS for interim reporting, as adopted in the EU, is the responsibility of the statutory representatives of the company.
Our responsibility is to issue a summarised evaluation of these condensed consolidated interim financial statements on the basis of our review. Analogous to § 275 Para. 2 (Regulation of Liability during the Auditing of Small and Medium-Sized Enterprises) of the Austrian Commercial Code, our responsibility and liability for proven damages derived from the gross negligence of our obligations during the completion of our assignment is limited to EUR 2 million. The limitation of our liability agreed with the client and published here also applies to third parties who undertake or refrain from activities on the basis of trust in our report.
Scope of review
We conducted our review in accordance with the applicable Austrian laws and professional principles, plus the International Standard on Review Engagements 2410, "Review of Interim Financial Information Performed by the Independent Auditor of the Entity". A review of interim financial information comprises interrogations, primarily of persons responsible for financial and accounting matters, and applying analytical and other investigative review procedures. A review is substantially less in scope and also provides less evidence than an audit and consequently does not enable us to obtain assurance that we would become aware of all significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.
Overall conclusion
Our review did not reveal any facts that would lead us to assume that the accompanying condensed consolidated interim financial statements are not in compliance in all material respects with the IFRS for interim reporting, as adopted in the European Union.
