22 marzo 2018. - Il Consiglio di Amministrazione di Exprivia – società quotata al segmento STAR di Borsa Italiana [XPR.MI] – ha deliberato in data odierna, su proposta del Comitato per la Remunerazione e sentito il parere del Collegio Sindacale, in merito all'adozione di un piano di incentivazione a lungo termine denominato "Piano di Performance Share 2018-2020" da sottoporre all'approvazione della prossima Assemblea ordinaria degli azionisti.
Il Piano regolamenta l'attribuzione a titolo gratuito di azioni ordinarie di Exprivia riservata ad amministratori, dirigenti con responsabilità strategiche, prime linee aziendali, country manager e persone che ricoprono ruoli chiave della Società e di società controllate del Gruppo, individuati dal Consiglio di Amministrazione su proposta dell'Amministratore Delegato e sentito il parere del Comitato per la Remunerazione.
Il Piano prevede, in particolare, l'attribuzione ai beneficiari di azioni ordinarie a titolo gratuito - utilizzando azioni proprie - per un numero massimo di 1.530.129 azioni. Il periodo di misurazione dei risultati previsti dal Piano ha come inizio il 1° gennaio 2018 e termine il 31 dicembre 2020. Al concludersi di tale periodo, verrà verificato il raggiungimento degli obiettivi di performance e, in caso di soddisfacimento di tali obiettivi quantitativi, saranno assegnate azioni ordinarie, con godimento regolare, in un'unica soluzione a ciascun beneficiario. L'assegnazione verrà effettuata in misura proporzionale alla performance conseguita secondo i criteri e i parametri prestabiliti e le altre condizioni previste dal Piano.
Il Piano di incentivazione rappresenta un importante ed efficace strumento creato per guidare e motivare il management nelle sfide di lungo termine. Nello specifico, gli amministratori della Società si prefiggono con il Piano:

March 22nd, 2018. - The Board of Directors of Exprivia - a company listed on the STAR segment of Borsa Italiana [XPR.MI] - today has approved, following a proposal by the Comitato per la Remunerazione and after having heard the opinion of the Board of Statutory Auditors, the adoption of a long-term incentive plan called "Performance Share Plan 2018-2020" to be submitted to the next Ordinary Shareholders' Meeting for its approval.
The Plan regards the distribution of Exprivia's ordinary shares free of charge, reserved to directors, strategic managers, first line managers, country managers and employees having key roles in the Company and in the Group subsidiaries identified by the Board of Directors following a proposal by the Chief Executive Officer and after having heard the opinion of the Comitato per la Remunerazione.
Specifically, the Plan involves the allotment of Exprivia's ordinary shares free of charge to the beneficiaries using treasury shares - for a maximum number of 1,530,129 shares. The measurement period of the results envisaged by the Plan, starts on the 1st January 2018 and ends on the 31st December 2020. At the end of this period, the achievement of the performance's targets will be verified and, if these quantitative targets are met, ordinary shares will be assigned, with regular benefits, in a single solution to each beneficiary. The allocation will be made proportionally to the targets achieved according to the pre-established parameters and to other conditions foreseen in the Plan.
