EXPRIVIA: APPROVATA L'INCORPORAZIONE DELLE CONTROLLATE DEI SETTORI FINANCIAL, TELCO, HEALTHCARE

16 giugno 2017. Il Consiglio di Amministrazione di Exprivia S.p.A. -società quotata al segmento STAR di Borsa Italiana [XPR.MI]- in data odierna ha avviato l'esecuzione di un progetto di accorpamento societario con la finalità di presidiare direttamente, attraverso apposite divisioni, i mercati Banking&Finance, Telco&Media, Energy&Utilities, Manufacturing&Distribution, Healthcare e Public Sector, che oggi sono seguiti da singole società di settore.

Il progetto approvato dal Consiglio di Amministrazione, ai sensi degli articoli 2501-ter e 2505 del codice civile, riguarda la fusione per incorporazione in Exprivia S.p.A. di Exprivia Digital Financial Solutions S.r.l., società operante nel mercato delle banche e della finanza, Exprivia Telco&Media S.r.l., operante nel mercato delle telecomunicazioni e Exprivia Healthcare IT S.r.l., operante nel mercato della Sanità, tutte società controllate al 100%.

L'operazione, la cui conclusione è prevista entro la fine dell'anno, persegue l'obiettivo di cogliere con maggiore rapidità le opportunità tecnologiche e di mercato, a vantaggio dei clienti, attraverso la concentrazione delle attività commerciali ed industriali, in linea con le evoluzioni del mercato dell'Information Technology.

EXPRIVIA: INCORPORATION OF FINANCIAL, TELCO & HEALTHCARE SUBSIDIARIES APPROVED

June, 16 2017. The Board of Directors of Exprivia S.p.A. - a company listed on the STAR segment of the Italian Stock Exchange [XPR.MI] - today began implementation of a corporate merger project with the aim of setting up its own Banking&Finance, Telco&Media, Energy&Utilities, Manufacturing&Distribution, Healthcare and Public Sector divisions to serve these markets, currently being covered by separate companies within the Group.

The project approved by the Board of Directors, pursuant to articles 2501-ter and 2505 of the Italian Civil Code, regards the merger by incorporation into Exprivia S.p.A. of Exprivia Digital Financial Solutions S.r.l., a company which operates in the banking and finance market, Exprivia Telco&Media S.r.l. in the telecommunications market and Exprivia Healthcare IT S.r.l. in the healthcare market, all of which are wholly-owned subsidiaries.

The operation, which is expected to be completed by the end of the year, pursues the goal of seamlessly capturing technological and market opportunities for the benefit of the customers through the concentration of commercial and industrial activities, in line with market developments of Information Technology.
