By means ACS Exprivia enters in a new innovative market strengthening skills in medical and manufacturing applications
June, 22 2016. Exprivia - a company listed on the STAR segment of Borsa Italiana [XPR.MI] - announces that today has completed the acquisition of ACS S.p.A., an innovative company operating in IT systems and software applications for the Space sector. Exprivia, which already holds a stake of 16.2% in ACS, has increased its stake up to 100%, becoming the sole shareholder of the company, at a price of up to Euro 360,001, to be paid upon the occurrence of certain conditions within July 31, 2017. This operation follows on from what has already been announced on 17 November.
ACS is an innovative SME, operating in the market for over twenty years, developing ground stations for receiving and processing satellite data ("Ground Station"), a sector in which the company has achieved a world-leading position. Over the years, ACS has expanded its offer taking the opportunity of the wide availability of Earth Observation data and of the development of new technologies for the study of the Earth. ACS is also active in the sector of geospatial data processing and GIS software for monitoring, planning and management of environmental risks and infrastructure, as well as in the support systems for the maritime traffic control, as well as in diagnostic medical imaging.
ACS has been one of the first companies to be admitted in the special section of the register of Italian companies reserved to innovative SMEs, as foreseen by Law 33/2015 which aims to promote the dissemination of technological innovations in the economy.
Today, the shareholders meeting of ACS has approved the financial statements at December 31, 2015, which reported revenues of 7.1 million Euro and a net bank debt of 2.8 million Euro, and an increase in capital, of which the sole shareholder Exprivia has committed to subscribe for Euro 1,800,000.
