Notification of change in share capital due to exercise of stock options
Filing of certification pursuant to Article 2444 of the Italian Civil Code and updated bylaws

Expert.ai S.p.A. (the "Company" or "Expert.ai"), announces the new composition of the share capital resulting from the allotment of 24,000 new ordinary shares following the exercise of 24,000 options pertaining to the fourth and final tranche of the 2020-2023 Stock Option Plan, previously approved by the Shareholders' Meeting on June 29, 2020 and as subsequently amended by the Shareholders' Meeting on May 2, 2022.
These allotted shares are newly issued shares in execution of the paid capital increase approved by the Shareholders' Meeting on May 2, 2022 to serve the plan itself.
The current composition of the Company's share capital is shown below, with evidence of the previous share capital:

The certificate of completion of the capital increase pursuant to Article 2444 of the Italian Civil Code was filed with the Companies' Register of Trento on December 16, together with the new text of Expert.ai's Articles of Association, updated with the new amount of share capital. The new text of the Company Bylaws is available to the public on the Company's website (https://www.expert.ai/) in the "Investor Relator/Corporate Governance" section as well as on the website of Borsa Italiana S.p.A. in the "Shares/Documents" section.
At the conclusion of the subscriptions to this capital increase, as well as from the latest findings in its possession, the Company reports, as also published on the Company's website in the section https://www.expert.ai/it/investor-relations/info-per-azionisti, that its shareholder base is composed as follows:
