ENDED IN ADVANCE THE STOCK EXCHANGE OFFER OF THE UNEXERCISED OPTION RIGHTS OF EXPERT.AI S.P.A.

PLACED NO. 8,201,961 OPTION RIGHTS ON THE MARKET, VALID FOR THE SUBSCRIPTION OF NO. 3,209,463 NEW SHARES

Expert.ai S.p.A. (the "Company" or "Expert.ai"), following the press release published on July 25, 2024, announces that today ended the offer held on July 29 and 30, 2024 on the Euronext Growth Milan a multilateral trading system organized and managed by Borsa Italiana S.p.A., pursuant to art. 2441, paragraph 3, of the Italian Civil Code (the "Stock Exchange Offer") of the option rights unexercised at the end of the offering period, which began on July 8, 2024, and ended on July 25, 2024 (the "Unexercised Option Rights").

In particular, all No. 8,201,961 Unexercised Option Rights have been placed on the market, valid for the subscription of no. 3,209,463 new ordinary Expert.ai shares (the "New Shares") in relation to the offer in option of a maximum of 26,970,471 new ordinary shares of Expert.ai, without nominal value, having the same characteristics as the outstanding shares (the "New Shares"), deriving from the capital increase approved by the Extraordinary Shareholders' Meeting on May 22 and whose terms and conditions were set by the Board of Directors on June 28, 2024 ("Capital Increase").

The Unexercised Option Rights give the right to subscribe New Shares at a price of Euro 1.10, of which Euro 0.01 to be allocated to share capital and Euro 1.09 to be allocated to share premium (sovrapprezzo), at a ratio of 9 New Shares for every 23 Unexercised Option Rights purchased.

The exercise of the Unexercised Option Rights purchased during the Stock Exchange Offer and, consequently, the subscription of the New Shares shall be made, under penalty of forfeiture, through the authorized intermediaries adhering to the centralized management system of Monte Titoli S.p.A., no later than 2.00 p.m. CET on July 30, 2024.

The New Shares subscribed will be credited to the accounts of the intermediaries adhering to the centralized management system managed by Monte Titoli S.p.A. at the end of the accounting day of the last day of exercise of the Unexercised Option Rights and will therefore be available on that same date.

During the offering period (July 8, 2024 – July 25, 2024) a total of n. 60,722,576 option rights were exercised, valid for the subscription of 23,761,008 New Shares, corresponding to 88.10% of all the New Shares offered, for a total value of Euro 26,137,108.80.
