END OF THE EXERCISE PERIOD OF THE OPTION RIGHTS ACQUIRED DURING THE STOCK EXCHANGE OFFER OF THE UNEXERCISED OPTION RIGHTS OF EXPERT.AI S.P.A.

Expert.ai S.p.A. (the "Company" or "Expert.ai"), following the press releases published on July 25, 2024, and on July 29, 2024, announces that today ended the period for the exercise of the option rights (the "Unexercised Option Rights") acquired during the stock exchange offer held on July 29, 2024 on the Euronext Growth Milan (a multilateral trading system organized and managed by Borsa Italiana S.p.A.), pursuant to art. 2441, paragraph 3, of the Italian Civil Code (the "Stock Exchange Offer"), as a result of which no. 3,061,044 new ordinary Expert.ai shares were subscribed (the "New Shares") deriving from the capital increase approved by the Extraordinary Shareholders' Meeting on May 22 and whose terms and conditions were set by the Board of Directors on June 28, 2024 ("Capital Increase").

As of today, therefore, (i) the Capital Increase, taking into account the New Shares already subscribed as of July 25, has been subscribed for a total of no. 26,822,052 New Shares, representing 99.45% of the total New Shares offered, for an aggregate value of Euro 29,504,257.20, and (ii) the remaining unsubscribed New Shares are no. 148,419, for an aggregate value of Euro 163,260.90.

It has to be reminded that GUM has irrevocably committed to subscribe any unsubscribed shares following the Stock Exchange Offer for an amount up to Euro 2.8 million.
