SUBSCRIPTION BY GUM GROUP S.P.A. OF UNSUBSCRIBED SHARES RELATING TO THE CAPITAL INCREASE AND FINAL RESULTS OF THE CAPITAL INCREASE WHICH IS FULLY SUBSCRIBED

July 31, 2024

Expert.ai S.p.A. (the "Company" or "Expert.ai"), following the press release published on July 30, 2024, announces that today GUM Group S.p.A. has subscribed all the remaining no. 148,419 new shares (the "New Shares") – deriving from the capital increase approved by the Extraordinary Shareholders' Meeting on May 22 and whose terms and conditions were set by the Board of Directors on June 28, 2024 ("Capital Increase") – which remained unsubscribed following the stock exchange offer of unexercised option rights, for a total value of Euro 163,260.90.

Therefore, the Capital Increase has been fully subscribed, for an amount of total no. 26,970,471 New Shares, representing 100% of the total New Shares offered, equal to an aggregate value of Euro 29,667,518.10.

Pursuant to Article 2444 of the Italian Civil Code, the certification concerning the subscription of the Capital Increase, indicating the new share capital, will be filed with the competent Companies' Register within the terms set forth by law.
