Notice of change of share capital
Filing of certificate pursuant to Article 2444 of the Italian Civil Code and updated company by-laws
August 1 st , 2024
Expert.ai S.p.A. (the "Company" or "Expert.ai"), announces the new composition of the share capital fully subscribed and paid-in following the full subscription of the capital increase, for a total amount of Euro 29,667,518.10 (of which Euro 269,704.71 to be allocated to share capital and Euro 29,397,813.39 to be allocated to share premium) resolved by the Extraordinary Shareholders' Meeting on May 22 and whose terms and conditions were set by the Board of Directors on June 28, 2024 ("Capital Increase").
In the context of the Capital Increase, no. 26,970,471 new ordinary shares of Expert.ai (the "New Shares") have been issued, without nominal value and traded on Euronext Growth Milan, multilateral trading facility organized and managed by Borsa Italiana S.p.A.
Here below the current composition of the Company's share capital, highlighting the previous share capital, is provided:

The certificate of execution of the Capital Increase pursuant to Article 2444 of the Italian Civil Code has been filed with Companies' Register of Trento today, along with the new text of company by-laws updated with the new amount of share capital. The new text of the company by-laws is available to the public on the Company's website (https://www.expert.ai/) in the "Investor Relations/Corporate Governance" section as well as on the Borsa Italiana S.p.A. website in the 'Shares/Documents' section.
Following the subscriptions of the Capital Increase and the notifications received by the Company pursuant to Article 17 of the Euronext Growth Milan Regulations, as well as based on the most recent information available, the Company announces that, as also indicated on the Company's website in the section https://www.expert.ai/en/investorrelations/info-for-shareholders/, its shareholding structure is as follows:

In particular, the shareholder Sofia Holding S.r.l. had communicated to the Company that it has exceeded the significant threshold of 5%, while the shareholders Marco Varone (directly and through Laura S.S.) and Stefano Spaggiari (directly and through Palitone S.S.) have communicated a reduction in their shareholding below the 5% threshold.
The Company will update the shareholding structure and will provide timely updates should any communications be received from shareholders.
