Notice of change of share capital following the assignment of stock grants Filing of certificate pursuant to Article 2444 of the Italian Civil Code and updated company by-laws

Expert.ai S.p.A. (the "Company" or "Expert.ai"), following the information provided in the prospectus related to the capital increase which was fully subscribed on July 31, 2024, announces the new composition of the fully subscribed and paid-in share capital of the Company, as resulting from the assignment, free of charge, of total no. 1,418,600 ordinary shares, following the vesting of a maximum of 1,430,000 ordinary shares deriving from the fourth and last tranche of the 2020-2023 Stock Grant Plan.

The aforementioned shares assigned consist of new shares issued in execution of the capital increase free of charge (aumento di capitale gratuito) resolved by the Shareholders' Meeting on June 29, 2020, for the execution of the Stock Grant Plan. Consequently, the share capital has increased by an amount of Euro 14.186,00 through the allocation of an equivalent amount taken from the extraordinary reserve.

Here below the current composition of the Company's share capital, highlighting the previous share capital, is provided:

The certificate of execution of the abovementioned capital increase pursuant to Article 2444 of the Italian Civil Code has been filed with Companies' Register of Trento on August 5 2024, along with the new text of company by-laws updated with the new amount of share capital. The new text of the company by-laws is available to the public on the Company's website (https://www.expert.ai/) in the "Investor Relations/Corporate Governance" section as well as on the Borsa Italiana S.p.A. website in the 'Shares/Documents' section.

Following the subscriptions of such capital increase, as well as based on the most recent information available, the Company announces that, as also indicated on the Company's website in the section https://www.expert.ai/en/investor-relations/info-forshareholders/, its shareholding structure is as follows:
