Expert.ai: Notification of Material Change in Shareholding
Modena, August 8, 2025
Expert.ai S.p.A. (the "Company" or "Expert.ai"), a leading provider of enterprise artificial intelligence solutions aimed at generating business value, hereby announces, pursuant to Article 17 of the Euronext Growth Milan Issuers' Regulation, that on 07 August 2025 it received a notification from its shareholder Sofia Holding S.r.l. concerning a reduction in its shareholding below the 5% material threshold of the Company's share capital.
Specifically, Sofia Holding S.r.l. reported that it currently holds 3,500,000 ordinary shares of the Company, representing 3.14% of the share capital. This reduction resulted from a recently completed corporate demerger, pursuant to which the shareholding previously entirely held by Sofia Holding S.r.l. was equally divided between it and a newly formed corporate vehicle.
Based on the notifications received by the Company pursuant to Article 17 of the Euronext Growth Milan Issuers' Regulation, as well as on the latest information available, the Company discloses, and also makes available on its website at "Investor Relations / Shareholders Information", the following updated shareholding structure:
