Resignation of non-executive and independent director

Modena, May 6, 2025

Expert.ai S.p.A. (the "Company" or "Expert.ai") announces that today it has received notice of the resignation, with immediate effect, of non-executive director Mr. Nicola Ciniero. No reasons were provided in connection with the resignation.

Mr. Nicola Ciniero was qualified as an independent director pursuant to applicable laws and corporate governance standards. He was not a member of either the Related Party Transactions Committee or the Management Control Committee of the Company. He is not entitled to any severance payment or other benefits in connection with the termination of his office

Based on the information available to the Company as of today, Mr. Nicola Ciniero does not hold, either directly or indirectly, any shares in the Company's share capital.

The Company expresses its appreciation to Mr. Nicola Ciniero for his service and contribution during his tenure.

It is further recalled that the upcoming Shareholders' Meeting — convened, inter alia, to approve the statutory financial statements and to present the consolidated financial statements of the Group as of 31 December 2024 — is scheduled to be held on first call on 27 May 2025 and, if necessary, on second call on 28 May 2025, and will include on its agenda the renewal of the entire Board of Directors.
