Expert.ai: Board member Ambrosella Landonio replaces Stefano Pedrini in the Management Control Committee and Related Party Committee, following Mr. Pedrini's loss of independence requirements

Expert.ai S.p.A. (the "Company" or "Expert.ai") announces that today, the Board of Directors, in accordance with Article 6-bis of the Euronext Growth Milan Issuers' Regulation, ascertained that the board member Stefano Pedrini no longer meets the independence requirements to serve on both the Management Control Committee and the Related Party Committee, pursuant to Article 148, paragraph 3 of Legislative Decree no. 58/1998 ("TUF"), as referenced in Article 147-ter, paragraph 4 of the TUF, as well as to Article 2399 of the Italian Civil Code.

Such resolution aligns with the self-assessment carried out by Mr. Pedrini himself, and it is due to his recent appointment as Chairman of the Board of Directors of Sofia Holding S.r.l., a significant shareholder of the Company, holding a 5.39% stake in the share capital of Expert.ai.

The Board of Directors also preliminarily confirmed that the directors Nicola Ciniero, Ambrosella Landonio, Ettore Leale, Marco di Teodoro, Andrea Gabola, and Roberto Sambuco continue to meet the independence requirements established by the law, the Company's by-laws, as well as the criteria set by the Board of Directors of Expert.ai on June 24, 2024. Furthermore, the Board also ascertained that, according to the Company's by-laws, Mr. Pedrini is not required to step down from his role as a board member of the Company, and he will continue to serve as a non-independent director.

In light of the above, to fill Mr. Pedrini's vacated positions on the aforementioned Committees, the Board has appointed the independent director Ambrosella Landonio to serve in such Committees in his place.

Following these appointments, the Management Control Committee and the Related Party Committee now are composed by independent directors Andrea Gabola (who also serves as Chairman of the Management Control Committee), Marco di Teodoro (Chairman of the Related Party Committee), and Ambrosella Landonio.
